Agreement between Owner and Architect
Crafts Avenue Affordable Housing Design
THIS AGREEMENT, executed this 25th day of August 2022 by and between: the City of Northampton
(“OWNER”), acting through its Planning & Sustainability, 210 Main St., Northampton, MA 01060 and Jones
Whitsett Architects, 308 Main Street, Greenfield, MA 01301.
OWNER hereby agrees to engage the ARCHITECT and the ARCHITECT hereby agrees to perform the services hereinafter
set forth in connection with the project (hereinafter called the PROJECT).
OWNER and ARCHITECT in consideration of their mutual covenants herein agree in respect of the performance of
professional services by ARCHITECT and the payment for those services by OWNER as set forth below.
ARCHITECT shall provide professional services for OWNER in all phases of the Project to which this Agreement applies,
serve as OWNER’S professional representative for the Project as set forth below and shall give consultation and advice to
OWNER during the performance of services hereunder.
The ARCHITECT shall undertake engineering, design, specifications, estimates, and bid specifications in accordance with the
attached:
1. Scope of Services-Crafts Avenue Climate Resilient Affordable Housing Design
2. Detailed budget with project deliverables
3. Crafts Avenue Affordable Housing Schedule
SECTION 1 – BASIC SERVICES OF ARCHITECT
1.1 GENERAL: ARCHITECT shall perform professional services as hereinafter stated, which include customary
architectural and engineering services incidental thereto.
1.2 SCOPE OF SERVICES- the ARCHITECT will do the work in accordance with the above referenced documents.
1.3 ARCHITECT shall present the OWNER for the latter’s approval with a Project completion schedule consistent with
the attached scope. The approved Project completion schedule shall become part of this contract and may be
amended only with the OWNER’s approval. All Phase 1 must be completed and invoiced no later than June 30, 2023
and all Phase 2 work must be completed and invoiced no later than June 30, 2024. These are inflexible hard deadlines.
SECTION 2 – OWNER’S RESPONSIBILITIES
2.1 The Owner shall provide ARCHITECT with all available information in his possession regarding the Project. The
OWNER does not guarantee the accuracy of information furnished and the ARCHITECT must satisfy thereself as to
the correctness of data.
SECTION 3 – PAYMENTS TO ARCHITECT
3.1 METHOD OF PAYMENT FOR SERVICES AND EXPENSES OF ARCHITECT OWNER shall pay
ARCHITECT for services rendered a fee of Five Hundred and Ninety Two Thousand, Nine Hundred Dollars
($592,900), of which Three Hundred Thousand, Three Hundred Dollars ($300,300) shall be for the period to
6/30/23 (FY23) and Two Hundred Ninety Two Thousand, Six Hundred Dollars ($292,600) shall be for the
period to 6/30/24 (FY24). The fee shall not be increased unless a contract amendment increases the scope of work
provided under Section 1.2.
3.2 TIMES OF PAYMENT. ARCHITECT shall submit a monthly invoice for Basic Services rendered. The amount of
ARCHITECT’S fee billed will be based upon ARCHITECT’S estimate, with the OWNER’S concurrence, of the
proportion of the total services actually completed at the time of billing. Payment will be due to the ARCHITECT
within sixty days of submittal to the OWNER. The compensation due the ARCHITECT shall not be subject to
retainages by the OWNER.
3.3 OTHER PROVISIONS CONCERNING PAYMENTS

In the event of termination by OWNER upon the completion of any phase of the Basic Services, progress payments due ARCHITECT for services rendered through such phase shall constitute total payment for such services. In the event of such termination by OWNER during any phase of the Basic Services, ARCHITECT will be paid for services rendered during that phase on the basis of a prorated percentage of the fee. SECTION 4 -GENERAL CONSIDERATIONS 4.1 TERMINATION: The obligation to provide further services under this Agreement may be terminated by the OWNER upon fourteen calendar days with written notice for any reason. 4.2 REUSE OF DOCUMENTS: Upon completion of the basic services as described under Section 1, all plans and documents shall be turned over to the OWNER as both PDFs and in whatever native file format is used to create the plans. Any reuse without written verification or adaption by ARCHITECT for the specific purpose intended will be at OWNER'S sole risk and without liability or legal exposure to ARCHITECT. All documents produced are public documents without any copyright protection. 4.3 CONTROLLING LAW: This Agreement is to be governed by the General Laws of Massachusetts. 4.4 SUCCESSORS AND ASSIGNS--OWNER AND ARCHITECT each binds himself and his partners, successors, executors, administrators, assigns and legal representatives to the other part to this Agreement and to the partners, successors, executors, administrators, assigns and legal representatives of such other party, in respect to all covenants, agreements and obligations of this Agreement. Neither OWNER nor ARCHITECT shall assign, sublet or transfer any rights under or interest in (including, but without limitation, moneys that may become due or moneys that are due) this Agreement without the written consent of the other, except that the effect of this limitation may be restricted by law. Unless specifically to the contrary in any written consent to an assignment, no assignment will release or discharge the assignors from any duty or responsibility under this Agreement. Nothing herein shall be construed to give any rights or benefits hereunder to anyone other than OWNER and ARCHITECT. 4.5 INSURANCE: ARCHITECT will attach and make a part of this agreement a Certificate of Insurance showing coverage for Worker's Compensation in the amounts required by statute and coverage for Professional Liability in the amount of $50,000 or the fee for basic services, whichever is greater. Pursuant to M.G.L. Chapter 62C, Section 49A, I certify under the penalties of perjury that I, to my best knowledge and belief, have complied with all laws of the commonwealth relating to taxes, reporting of employees and contractors, and withholding and remitting child support. I further authorize the City of Northampton to deduct from the amounts due under this contract, any overdue taxes, real or personal, or any other fees due to the City of Northampton from the vendor which become due and payable by the vendor or its officers, directors or agents during the term of this contract or until the final amounts due under this contract are paid in full. The vendor does/ does not have a Northampton office. The City of Northampton is not bound by this contract until approved by the Mayor of Northampton. IN WITNESS WHEREOF the Owner caused these presents to be signed in and approved by Gina-Louise Sciarra its
Mayor and the said ARCHITECT has caused these presents to be signed and its official seal to be hereto affixed by
its officer or agent thereunto duly authorized (by the attached corporate resolution). This instrument shall take effect

Scope of Services
Crafts Avenue Climate Resilient Downtown Affordable Housing Design
The Northampton Office of Planning & Sustainability is coordinating the design of affordable housing at Crafts Avenue, on a
site that the City has declared surplus to its needs and intends to transfer the property to an affordable housing developer. The
City has done or is currently conducting basic feasibility of the site, including first-cut conceptual design, geotechnical analysis,
structural analysis, and a property and topographic survey. It does not include construction administration, which will be the
ultimate affordable housing provider’s responsibility.
This contract is for construction drawings, specifications, estimates, and bid documents in a form that we can pass to the
ultimate affordable housing developer.
The City of Northampton is committed to increasing its supply of affordable housing, especially housing for those who are
most housing cost burdened and are experiencing or are at risk of houselessness. The Crafts Avenue site is appropriate for up
to 28 studio apartments to serve this population, possibly in conjunction with a congregate living shelter on the ground floor.
We expect the building to be designed to passive house standards. The building should not depend upon fossil fuel for
normal operations. Heating and cooling of space and water should be from air source or ground source heat, with the
potential option for a district micro grid utilizing geothermal heat source.
The site is challenging, with significant topographic changes and the need to design 1) temporary sheet piles during
construction, 2) a permanent retaining wall to extend from the building being designed to the existing Northampton Municipal
Office Building and parking area and 3) a portion of the lower floors being dug into the existing hillside. This is an urban site,
with a small, constrained footprint and surrounded by developed sites.
The City will be transferring the site for climate resilient affordable housing, is not building anything on the site itself, and is
not holding any affirmative easements or rights to the building. As such the City’s procurement officer has determined that
MGL Chapter 7C (designer selection) does not apply to this project.
The successful designer will work with the Office of Planning and Sustainability, representatives from affordable housing and
social service agencies that the City convenes, and representatives from those with lived experience that the designer works
with to finalize the project program. Currently, the program for the site is up to 28 studio affordable rental apartments, aimed
at the most housing cost burdened populations, with the possibility of a congregate living shelter on the bottom floor (that
may reduce the unit count). The building must be designed to passive house standards, with an analysis of how to meet those
performance standards even if the affordable housing developer decides not to have the building go through the passive house
certification process.

Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through the DocuSign system all required notices, disclosures,
authorizations, acknowledgements, and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as
described below. Please also see the paragraph immediately above that describes the
consequences of your electing not to receive delivery of the notices and disclosures
electronically from us.
How to contact City of Northampton:
You may contact us to let us know of your changes as to how we may contact you electronically,
to request paper copies of certain information from us, and to withdraw your prior consent to
receive notices and disclosures electronically as follows:

To advise City of Northampton of your new email address
To let us know of a change in your email address where we should send notices and disclosures
electronically to you, you must send an email message to us at apagan@northamptonma.gov and
in the body of such request you must state: your previous email address, your new email
address. We do not require any other information from you to change your email address.
If you created a DocuSign account, you may update it with your new email address through your
account preferences.
To request paper copies from City of Northampton
To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must send us an email to apagan@northamptonma.gov and in the
body of such request you must state your email address, full name, mailing address, and
telephone number. We will bill you for any fees at that time, if any.
To withdraw your consent with City of Northampton
To inform us that you no longer wish to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your signing session, and on the subsequent page,
select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an email to apagan@northamptonma.gov and in the body of such request you must
state your email, full name, mailing address, and telephone number. We do not need any other
information from you to withdraw consent.. The consequences of your withdrawing consent for
online documents will be that transactions may take a longer time to process..
Required hardware and software
The minimum system requirements for using the DocuSign system may change over time. The
current system requirements are found here: https://support.docusign.com/guides/signer-guide-
signing-system-requirements.
Acknowledging your access and consent to receive and sign documents electronically
To confirm to us that you can access this information electronically, which will be similar to
other electronic notices and disclosures that we will provide to you, please confirm that you have
read this ERSD, and (i) that you are able to print on paper or electronically save this ERSD for
your future reference and access; or (ii) that you are able to email this ERSD to an email address
where you will be able to print on paper or save it for your future reference and access. Further,
if you consent to receiving notices and disclosures exclusively in electronic format as described
herein, then select the check-box next to ‘I agree to use electronic records and signatures’ before
clicking ‘CONTINUE’ within the DocuSign system.
By selecting the check-box next to ‘I agree to use electronic records and signatures’, you confirm
that:
You can access and read this Electronic Record and Signature Disclosure; and
You can print on paper this Electronic Record and Signature Disclosure, or save or send
this Electronic Record and Disclosure to a location where you can print it, for future
reference and access; and
Until or unless you notify City of Northampton as described above, you consent to
receive exclusively through electronic means all notices, disclosures, authorizations,
acknowledgements, and other documents that are required to be provided or made
available to you by City of Northampton during the course of your relationship with City
of Northampton.
