CONTRACT FOR FRIENDS OF HAMPSHIRE COUNTY HOMELESS INDIVIDUALS, INC. FIRST HOUSING COMMUNITY PRESERVATION ACT GRANT
THIS AGREEMENT, executed this _______ day of MAY 2008 by and between the City of Northampton, a Massachusetts municipal corporation, acting through its Office of Planning and Development
on behalf of the Community Preservation Committee, with a mailing address of c/o Wayne Feiden, Director of Planning and Development, City Hall, 210 Main Street, Room 11, Northampton,
MA 01060, hereinafter called "The City" and Friends of Hampshire County Homeless Individuals, Inc., with a mailing address of 602 North Farms Road, Florence, , MA 01062, hereinafter
called “Friends.”
WHEREAS, the Northampton Community Preservation Committee and the Northampton City Council have approved $220,000 in funding for a Housing First project, significantly as outlined in
the Housing First CPA application, attached (without its attachments) to this contract.
WHEREAS, the performance of this project will be guaranteed by a mortgage/affordability agreement substantially as attached to this contract.
The City shall pay the Friends for the performance of this contract in the sum of; Two Hundred and Twenty Thousand dollars, ($220,000.00) dollars in accordance with the terms of this
contract. The Friends shall deliver an Affordable Housing Restriction and Mortgage substantially as shown on the attached, and in a final format acceptable to the City of Northampton.
The Friends shall further credit the Community Preservation Act funding in any promotional materials.
This contract shall not be altered in any particular without the consent of all parties to this contract. All alterations to this contract must be in writing and authorized as such
by the Mayor and the department head signing this contract. The certification authorizing the person signing for the Friends must be attached to this contract.
Final payment on this contract shall release and discharge the City of Northampton from any and all claims against the City on account of any work performed hereunder, or any alteration
hereto.
The City of Northampton is not bound by this contract until approved by the Mayor of Northampton.
IN WITNESS WHEREOF the City caused these presents to be signed in quadruplicate (4) and approved by Mary Clare Higgins, its Mayor and the said Friends has caused these presents to be
signed in quadruplicate(4) and its official seal to be hereto affixed by its officer or agent thereunto duly authorized (by the attached corporate resolution). This instrument shall
take effect as a sealed instrument.
