WHEREAS: On August 22, 1974, the 93rd Congress of the United States of America enacted the Housing and Community Development Act of 1974; and WHEREAS: Public Law 93-383 provides for a program of Community Development Block Grants relating to housing, urban development and other purposes; and WHEREAS: The GRANTEE has entered into an agreement with the United States Department of Housing and Urban Development for the purpose of conducting a Community Development Block Grant Program with federal financial assistance under Title I of the Housing and Community Development Act of 1974, as amended; and WHEREAS: Pursuant to such agreement, the GRANTEE wishes to support activities to prevent the physical deterioration of neighborhoods through public improvements, to eliminate slums and blight, and to assist persons with low and moderate incomes through the provision of public service programs; NOW, THEREFORE, in furtherance of the objectives set forth above and in consideration of the mutual promises of the parties to this AGREEMENT contained herein, the GRANTEE and the SUBRECIPIENT do hereby agree as follows: 1. SCOPE OF SERVICES The SUBRECIPIENT does hereby agree to perform and render the services and/or operate the programs described in Appendix A, Scope of Services, attached hereto and made a part hereof in accordance with all the terms of said Appendix. 2. BUDGET The GRANTEE will pay to the SUBRECIPIENT the sum specified in Appendix B, Budget, attached hereto and made a part hereof, which will constitute full and complete compensation for all materials delivered or furnished, for all services rendered, and for all tasks to be accomplished under the Scope of Services. The SUBRECIPIENT will not expend more than said amount for those purposes and shall spend them for the purposes stated and in the manner described in the Budget. No funds received by the SUBRECIPIENT under this AGREEMENT shall be spent for any other purpose or in any other manner without the written consent of the GRANTEE. The GRANTEE reserves the DocuSign Envelope ID: B1EEB76C-08B7-4BDA-B8E5-5911559086C1 CFDA #14-218 B-20-MC-25-0027 right to reduce or terminate the Budget under this AGREEMENT in the event that the funds awarded hereunder are used for ineligible activities as defined in HUD regulations. The GRANTEE shall have the final decision as to the eligibility of an activity, subject to said regulations. 3. TERM Services under this AGREEMENT shall commence on July 1, 2020 and shall terminate on June 30, 2021. If there is a specific sequence in which the Scope of Services is to be performed or certain target dates which must be met therein, or commencement or completion dates which differ from those contained in this paragraph, said information shall be contained in a schedule included as part of Appendix A - Scope of Services. Dates contained in Appendix A –Scope of Services, shall be controlling and shall supersede any conflicting dates contained in the body of this AGREEMENT. 4. ADMINISTRATIVE PROCEDURES The SUBRECIPIENT hereby agrees to comply in all respects with all of the duties, responsibilities and requirements imposed by this AGREEMENT and the GRANTEE. The SUBRECIPIENT further agrees to comply with the applicable uniform administrative requirements contained in CDBG regulations 24 CFR 570.502 and 2 CFR Part 200 (Uniform Administrative Requirements, Cost Principles and Audit Requirements for Federal Awards). 5. TERMINATION OF AGREEMENT (A) Termination of AGREEMENT for Cause: In accordance with 2 CFR 200.339 (Termination), if the SUBRECIEPENT materially fails to fulfill its obligation under this AGREEMENT in a timely and proper manner, for any cause, or shall violate any of the terms or conditions of this AGREEMENT, then the GRANTEE reserves the option to terminate this AGREEMENT. Written notice of such termination shall be sent to the SUBRECIPIENT at its last known business address by certified mail, return receipt requested, or such other method of notification which shall insure that the SUBRECIPIENT has actual notice of the termination. Said written notice shall specify the effective date of the termination and will state that the termination decision may be considered in evaluating future applications. Notice shall be given not less than fifteen (15) days before said effective date. The SUBRECIPIENT hereby agrees that in such event, all records, documents, assets, and property of any nature whatsoever or wheresoever situated, prepared or purchased by said SUBRECIPIENT with CDBG funds under this AGREEMENT shall, at the option of the GRANTEE, become the property of the GRANTEE. Upon request, the SUBRECIPIENT shall secure said property and deliver same to the GRANTEE immediately. Notwithstanding the above, the SUBRECIPIENT shall remain liable to the GRANTEE for damages, and the GRANTEE may withhold any payments to the SUBRECIPIENT until such time as the exact amount of damages to the GRANTEE from the SUBRECIPIENT is determined. (B) Suspension of AGREEMENT for cause. The GRANTEE may suspend this AGREEMENT in accordance with 2 CFR 200.338 (Remedies for Noncompliance) if the SUBRECIPIENT materially fails to comply with its terms and conditions. Notification of suspension shall be given in the same manner as notification of termination described in Paragraph (A), supra. The GRANTEE shall specifically list the reasons for the suspension and shall indicate the date by which the SUBRECIPIENT must take corrective action and the action to be taken, if appropriate. The SUBRECIPIENT, at the expiration of the corrective time period or at such earlier date as it feels corrective action has been completed, shall request a review. If the GRANTEE finds that the SUBRECIPIENT has adequately corrected any non-compliance, it shall reinstate the AGREEMENT. If the GRANTEE finds non- compliance still exists, it may extend the time for correction or may proceed to terminate the AGREEMENT, whichever option is, in the GRANTEE'S judgment, most advantageous for the CDBG program. (C) Termination of AGREEMENT other than for cause. The GRANTEE may terminate this AGREEMENT at any time if it deems it in the best interest of the GRANTEE or the CDBG program to do so, and / or if funds are not made available from HUD. Notification of termination shall be given as specified in Paragraph (A), supra. The SUBRECIPIENT shall be paid all sums attributable to the portion of the Scope of Services completed as of the termination date. Such termination shall be the sole discretion of the GRANTEE and may include, but is not limited to, the need to reallocate CDBG funds as a result of natural or other disasters which directly threaten public health and safety. (D) In accordance with 2 CFR 200.339, the SUBRECIPIENT may terminate the Agreement by sending written notification setting forth the reasons for such termination, the effective date and, in the case of partial termination, the portion to be terminated. However, if the GRANTEE determines in the case of partial termination that the award will not accomplish the purposes for which the award was made, the GRANTEE may terminate the award in its entirety. (E) In accordance with 2 CFR 200.339, the GRANTEE may terminate this AGREEMENT with the consent of the SUBRECIPIENT, in which case the two parties must agree upon the termination conditions, including the effective date and, in the case of partial termination, the portion to be terminated. RECORDS The SUBRECIPIENT agrees to maintain and to provide as required in this AGREEMENT the following accounts and records: appropriation/expenditure records, encumbrance records (if applicable), cash receipt and disbursements register, journal, General Ledger and Cost Accounts, and an inventory of capital equipment, personal property, and/or real property purchased with CDBG funds. In support of said accounts and records, the SUBRECIPIENT further agrees to maintain and provide: certified time sheets or time cards, copies of approved purchase requisitions, copies of approved purchase orders, copies of signed receiving documents, originals of standard invoices or vouchers by which payments are made, cancelled checks, bank reconciliations, monthly trial balances and monthly balance sheets. The SUBRECIPIENT further agrees to maintain separate records for Community Development Block Grant fund transactions and documentation that the activity meets the national objective of benefiting low- and moderate-income persons. The SUBRECIPENT further agrees to provide access to these records not more than five (5) days after receipt of a written request from the GRANTEE. 7. RECORD RETENTION In accordance with 2 CFR 200.333-200.337 (Record Retention and Access), the SUBRECIPIENT shall retain and secure for a minimum period of three (3) years from the date of submission of the annual performance and evaluation report all financial records, supporting documents, statistical records and all other records pertinent to the CDBG Program. Records shall be retained beyond said three (3) year period if audit findings have not been resolved or if there is litigation or a claim pending in connection with the program. In that case, records shall be retained until final resolution of any pending audit, litigation, or claim. It is further agreed that records for non-expendable property which was acquired with CDBG funds shall be retained for three (3) years after its final disposition. Records for any displaced parties shall be retained for a period of three (3) years after said parties have received final payment. The GRANTEE reserves and retains the option to request transfer of certain records to its custody when it determines that said records possess long-term retention value. The SUBRECIPIENT shall transfer these records to the GRANTEE not more than fifteen (15) days after receipt of a written request from the GRANTEE. The SUBRECIPIENT agrees that it shall include similar record keeping provisions in any agreements it may make with sub-recipient sub-awardees for use of CDBG funds. 8. AUDIT REQUIREMENTS The GRANTEE shall have immediate access to any and all books, documents, papers, reports, records and files of the SUBRECIPIENT and its sub-recipient sub-awardees which are pertinent or relevant to the subject grant program for the purpose of making or conducting an audit, examination, excerpts and transcripts. The SUBRECIPIENT agrees that the GRANTEE shall be guaranteed similar audit rights as to the records of all sub- recipient sub-awardees. Any costs incurred by the GRANTEE as a result of any needed audit of the SUBRECIPIENT’S records for current and past years will be paid by the SUBRECIPIENT within 30 days of billing. 9. BUDGET ADJUSTMENTS The SUBRECIPIENT herewith agrees not to revise, adjust or modify the attached budget and schedule without prior approval from the Community Development Planner. The SUBRECIPIENT further agrees to expend funds in accordance with line items, listed in Appendix B and the time schedule in Appendix A (if applicable). Requests to revise, adjust or modify the project budget and schedule shall be submitted in writing to the GRANTEE’S Community Development Planner. 10. REQUESTS FOR PAYMENT Requests for payment for expenses incurred shall be submitted to the Planning and Sustainability Office through the SUBRECIPIENT Neighborly portal for processing. Payment requests shall be in the form of an itemized invoice as indicated in the Program Budget (Appendix B) along with a cover letter. The GRANTEE shall provide payment for said payment requests in a timely fashion, subject to the availability of funds from and the approval by the United States Department of the Treasury. 11. WITHHOLDING PAYMENTS Payments to the SUBRECIPIENT are subject to compliance with this AGREEMENT. Failure to submit completed US Department of Labor Weekly payroll forms as required will result in payments being held. Other violations of this Agreement as specified in Article 23 of this Agreement, (Breach of Contract), will result in payments being held until corrective measures have been made and approved by the GRANTEE. 12. REPORTING REQUIREMENTS AND PERFORMANCE MEASUREMENT A Performance Measurement system established by HUD as a standardized process to gather information, measure program results and quantify the benefit of programs to individuals and families with low and moderate incomes, has been incorporated into this Agreement (Appendix C). The SUBRECIPIENT shall complete and submit these reports to the GRANTEE on a quarterly basis. Reports are due (10) working days following the end of each quarter. Quarters end on the following dates: 1st Quarter July 1st - September 30th 2nd Quarter October 1st - December 31st 3rd Quarter January 1st - March 31st 4th Quarter April 1st - June 30th / Final Report Final Report In addition to the 4th quarter accomplishments, a summary of accomplishments for the entire program year must be provided. DocuSign Envelope ID: B1EEB76C-08B7-4BDA-B8E5-5911559086C1 CFDA #14-218 B-20-MC-25-0027 The information provided in the Quarterly Reports is reported in HUD’s Integrated Disbursement and Information System (IDIS) and is included in the Consolidated Annual Performance and Evaluation Report (CAPER), which is reviewed by HUD for consistency with federal regulations and the GRANTEE’S Consolidated Plan. The GRANTEE shall perform an evaluation of the SUBRECIPIENT’s performance of the Scope of Services herein stated, based on site monitoring visits, program reports submitted by the SUBRECIPIENT and any other information deemed appropriate. 13. GRANT CLOSE OUT PROCEDURES The GRANTEE reserves the right to issue procedures which shall control close out activities for the Grant Project. These procedures shall conform to CDBG regulation 24 CFR 570.509 and the Uniform Administrative Requirement 2 CFR 200.343 (Closeout). Observance of these procedures shall be mandatory. 14. RIGHTS RESERVED The GRANTEE reserves the right to change any reporting, auditing, or other administrative requirements contained in the AGREEMENT if current requirements imposed on CDBG recipients are altered or changed by Federal or State agencies. 15. CONFIDENTIALITY OF RECORDS The GRANTEE reserves the right to access the non-confidential records of the SUBRECIPIENT and its sub-recipient sub-awardees in accordance with provisions of Massachusetts General Laws and Federal regulations. Records classified as confidential shall be provided with the written consent of the individual involved. The SUBRECIPIENT shall not prevent or hinder public access to records related to the receipt, expenditure, and use of CDBG funds, provided said records are subject to the public records access statutes of the Commonwealth of Massachusetts or the Fair Information Practices Act. 16. DOCUMENTS INCORPORATED All appendices, exhibits, attachments and addenda attached herewith are incorporated by reference and made a part of this agreement. 17. DISBURSEMENT SCHEDULE FOR FUNDS RECEIVED BY SUBRECIPIENT The SUBRECIPIENT hereby agrees to disburse Community Development Block Grant funds received to vendors, employees, and sub-recipient sub-awardees in a timely fashion, subject to the availability of funds from HUD. The SUBRECIPIENT acknowledges that there can be no interest earned on CDBG funds. 18. INDEMNIFICATION The SUBRECIPIENT shall indemnify and hold harmless, the GRANTEE and all of its officers, agents, and employees against all suits, claims or liabilities of every nature, arising out of, or in consequence of, the acts or omissions of the SUBRECIPIENT, its employees, agents, DocuSign Envelope ID: B1EEB76C-08B7-4BDA-B8E5-5911559086C1 CFDA #14-218 B-20-MC-25-0027 sub-contractors, or sub-recipient sub-awardees in connection with their rendering of services under this AGREEMENT and will, at the SUBRECIPIENT'S own cost and expense, defend any and all such suits and actions. 19. APPROVAL OF THIRD PARTY AGREEMENTS The GRANTEE reserves the right to approve all sub-recipient sub-awardees receiving CDBG funds through the SUBRECIPIENT and to approve agreements with sub-recipient sub-awardees which are funded in whole or in part with CDBG funds. All sub-awardees must have DUNS number and have an active registration in SAM.gov. The SUBRECIPIENT shall not delegate, assign or transfer any of its duties delineated in the scope of services without prior written consent from the GRANTEE. 20. AFFIRMATIVE ACTION GOALS The SUBRECIPIENT shall endeavor to incorporate the policies of the GRANTEE in regard to its goals of hiring 6.9% minorities and handicapped in recruiting personnel in connection with this grant and in meeting any HUD national affirmative action goals. 21. DISCRIMINATION Under Title VI of the Civil Rights Act of 1964, no person shall, on the grounds of race, color, sex, age or national origin, be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activity receiving Federal financial assistance. The SUBRECIPIENT shall comply with said Title VI, and with all other federal or state statutes or executive orders banning discrimination or discriminatory practices. The SUBRECIPIENT shall require any sub-awardees to similarly comply with said statutes or orders. 22. SUPERVISION All services and/or work to be performed by the SUBRECIPIENTS or its sub-awardees shall be conducted, carried out, and completed subject to the approval of the Community Development Planner (GRANTEE). Any amendments or modifications must be duly requested in writing to the Community Development Block Grant Program Administrator and, if approved, are effective upon formal execution of an amendment to this AGREEMENT. All services and/or work shall be subject to each provision of this AGREEMENT. 23. BREACH OF CONTRACT If a SUBRECIPIENT or sub-recipient sub-awardee is in breach of contract or violation of the rules and regulations of the City of Northampton’s Community Development Block Grant program, the GRANTEE reserves the right to withhold further funding, demand return of unexpended funds, terminate this AGREEMENT and seek further administrative and/or legal relief to assure and guarantee full compliance with the intent and purpose of the Housing and Community Development Act of 1974, as amended. POLITICAL ACTIVITY PROHIBITED None of the funds, materials, property or services provided directly or indirectly under this AGREEMENT may be used for any partisan political activity or to further the election or defeat of any candidate for public office, nor may any personnel employed in the administration of the Community Development Block Grant Program be engaged in the conduct of political activity during working hours nor use the office so held in order to assert political influence. 25. LOBBYING PROHIBITED None of the funds provided under this AGREEMENT shall be used for publicity purposes designed to support or defeat legislation pending before the Congress or any other legislative body. No federally appropriated funds have been paid or will be paid, by or on behalf of the undersigned, to any person for influencing or attempting to influence an officer or employee of any agency, a Member of Congress, an officer or employee of Congress, or an employee of a Member of Congress in connection with the awarding of any Federal contract, the making of any Federal grant, the making of any Federal loan, the entering into of any cooperative agreement, and the extension, continuation, renewal, amendment, or modification of any Federal contract, grant, loan, or cooperative agreement. If any funds other than Federally appropriated funds have been paid or will be paid to any person for influencing or attempting to influence an officer or employee of any agency, a Member of Congress, an officer or employee of Congress, or an employee of a Member of Congress in connection with this Federal contract, grant, loan, or cooperative agreement, the undersigned shall complete and submit Standard Form-LLL, "Disclosure Form to Report Lobbying," in accordance with its instructions. The undersigned shall require that the language of this certification be included in the award documents for all sub-recipient sub-awardees at all tiers (including subcontracts, sub-grants, and contracts under grants, loans, and cooperative agreements) and that all SUBRECIPIENTS shall certify and disclose accordingly. 26. IDENTIFICATION All advertisements, notifications, publications, signs, brochures, and other promotional or informational material shall identify the program and/or project as being funded by the CITY OF NORTHAMPTON - COMMUNITY DEVELOPMENT BLOCK GRANT PROGRAM. 27. INTEREST OF PUBLIC OFFICIALS No member, officer, or employee of the GRANTEE, or its designees or agents, no member of the governing body of the City of Northampton, and no other public official of the DocuSign Envelope ID: B1EEB76C-08B7-4BDA-B8E5-5911559086C1 CFDA #14-218 B-20-MC-25-0027 GRANTEE who exercises any functions or responsibilities with respect to the program during his/her tenure or one year thereafter, shall have any interest, direct or indirect, in any contract or sub-contract, or the proceeds thereof for work to be performed in connection with the program assisted under this AGREEMENT. 28. INTEREST OF FEDERAL OFFICIALS No member of or delegate to the Congress of the United States, and no Resident Commission, shall be admitted to any share or part of this AGREEMENT or to any benefit to arise from the same. 29. COMPLIANCE WITH AIR AND WATER ACTS The SUBRECIPIENT hereby stipulates that any facility to be utilized in the performance of the AGREEMENT or sub-contract is not listed on the List of Violating Facilities issued by the Environmental Protection Agency (EPA pursuant to 40 CFR 15.20). The SUBRECIPIENT hereby agrees to comply with all the requirements of the Clean Air Act, as amended (42 USC 7401-7671q.) and the Federal Water Pollution Control Act, as amended (33 USC 1251-1387), relating to inspection, monitoring, entry, reports and information, as well as all other requirements, and regulations and guidelines issued thereunder. As a condition for the award of this AGREEMENT, the SUBRECIPIENT hereby further agrees that prompt notice will be given of any notification received from the Director, Office of Federal Activities, EPA, indicating that a facility utilized or to be utilized for the Contract is under consideration to be listed on the EPA List of Violating Facilities. The SUBRECIPIENT agrees that it will include or cause to be included the criteria and requirements in paragraph (1) through (4) of this section in every non-exempt sub- contract and requiring that the SUBRECIPIENT will take such action as the Government may direct as a means of enforcing such provisions. 30. FINANCIAL MANAGEMENT SYSTEM In accordance with 2 CFR 200.302 AND 200.303 (Financial Management and Internal Controls), the SUBRECIPIENT hereby agrees to establish and/or maintain a Financial Management System that provides for: (a) Accurate, current and complete disclosure of the financial results of the Grant Program in accordance with Federal and GRANTEE reporting requirements. (c) Effective control over and accountability for all funds, property, and other assets. The SUBRECIPIENT shall adequately safeguard all such assets and shall assure that they are used solely for authorized purposes. (d) Comparison of actual expenditures with budgeted amounts, also relation of financial information to performance or productivity data. (e) Procedures for determining the allowability and allocability of costs in accordance with the provisions of 2 CFR 200.403 – 200.405 . (f) Accounting records which are supported by source documentation. (h) Audits to be made by the GRANTEE, or its representative, to determine at minimum, the fiscal integrity of financial actions and reports and the compliance with laws, regulations, and administrative requirements. (i) A systematic method to assure timely and appropriate resolution of audit findings and recommendations. (j) Adherence to any other relevant sections as specified in OMB 2 CFR 200. 32. PROGRAM INCOME The SUBRECIPIENT shall comply with the regulations for reporting and managing program income as set out in 24 CFR 570.504. 33. ASSUMPTION OF LOSS AND LIABILITY The SUBRECIPIENT herein warrants and agrees that if the GRANTEE, through its monitoring process and/or the U.S. Department of Housing and Urban Development, or its successor agency determines that any payment to the SUBRECIPIENT or SUBRECIPIENT’S beneficiaries was not in accordance with HUD statutes, regulations or guidelines, and if HUD requests repayment, then the SUBRECIPIENT shall repay the disputed or incorrect payment to the GRANTEE within 60 days of the City’s written DocuSign Envelope ID: B1EEB76C-08B7-4BDA-B8E5-5911559086C1 CFDA #14-218 B-20-MC-25-0027 request for reimbursement to the SUBRECIPIENT. This paragraph shall survive the expiration of this contract. 34. TAX COMPLIANCE CERTIFICATION Pursuant to M.G.L. Chapter 62C, Section 49A, the SUBRECIPIENT certifies under the penalties of perjury that she/he/they have, to their best knowledge and belief complied with the law of the Commonwealth relating to taxes, reporting of employees and contractors, and withholding and remitting child support. 35. ADA COMPLIANCE The SUBRECIPIENT must insure compliance with the Americans with Disabilities Act (ADA) and the Architectural Barriers Act (ABA). 36. REVERSION OF ASSETS In accordance with CDBG regulation 24 CFR 570.503(b)(7) and OMB regulations 2 CFR 200.313 (Equipment). Real Property is governed by 24 CFR 570.200(j) and 24 CFR 570.505. The SUBRECIPIENT declares that any real property or equipment acquired or improved with CDBG funds shall continue to be used in a manner which provides a direct benefit to low and moderate income persons and is consistent with the Scope of Services attached to and made part of this Agreement. If at any time such real property or equipment is not used in a manner which provides a direct benefit to low and moderate income persons or if such real property is disposed of by the SUBRECIPIENT, the total amount of CDBG assistance utilized by the SUBRECIPIENT to purchase or improve said real property or equipment shall revert back to the GRANTEE. Furthermore, the SUBRECIPIENT, at the conclusion of this Agreement or in the case of termination of the Agreement by the GRANTEE, shall transfer to the GRANTEE any and all CDBG funds on hand and any accounts receivable attributable to the use of CDBG funds. 37. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.
