There are no controls or gears to learn, users simply pedal and the technology activates with their movement. Each bicycle is equipped with Continuously Variable Transmission (CVT), which automatically adjusts the a ssist ratio to match every riding style. People still receive the health benefits of active transportation, with an added boost to help them reach their destination! Bewegen’s Pedelec model includes multiple options for speed customization: 1. Geo-Fencing: speed limit is reduced/increased based on geographic location. • Example: reduce system-wide assistance level to not exceed 15 miles per hour. 2. System-Wide: system operator instantaneously reduces/increases speed limit for all bikes. • Example: operator reduces assistance level during severe thunder storm. 3. User-Based: individual users reduce/increase speed limit using their online profile. • Example: user sets a lower assistance level for weekend days to burn more calories. On-Bike Technology Bewegen’s advanced IT solution is not only found on computers and smartphones, but also our bicycles. Our team of innovators created a bicycle that brings the advantages of our user -friendly technology directly to the user. The bicycles include a color bike screen that displays customizable information (e.g. safety information, local laws). The standard bike screen displays information designed to improve the customer experience, including: current speed, battery level, trip timer, distance travelled, and ride/docking status. The bicycles are unlocked by simply tapping an RFID card below the bike screen. Beyond all of this, there is an electric horn located on the left handlebar, with an option to customize the audio. DocuSign Envelope ID: 62CCD925-45E3-4F59-A59B-5886B4DE1AA2 Proprietary & Confidential P a g e | 6 Stations Virtual Station Technology Bewegen’s virtual station technology creates geo-fenced areas that are GPS- designated. Known as the “dockless” bike sharing model, users simply dock their bicycles within the designed system service zone and the bicycles are tracked and maintained by the operator. There are three distinctive ways in which a client can take advantage of Bewegen’s virtual station technology. Firstly, permanent virtual stations wherein users dock their bicycle within set zones increases organization and accountability. Secondly, free-floating virtual stations can be created across a larger area. This model maximizes convenience for the system user and is ideal for places like corporate and university campuses. Thirdly, the system operator can create a temporary virtual station within seconds. This functionality is ideal for special events or other activities that require additional bike share support (example: sporting events). Bewegen Station – Overview of Key Features All-season outdoor use, rust-proof, resistant to scratches, graffiti, corrosion, and salt. Automatic locking mechanism exceeds industry standards for theft and vandalism. Stations powered by direct connection to the electrical grid. Option for solar powered stations available upon request. Stations automatically communicate bicycle availability and maintenance requirements. Virtual stations allow users to dock their bicycle at a full station using the secondary lock. Clear and prominent space for backlit advertising, system map, individual station naming, branding, safety tips and customer service contact information. System operator can disable docking stations remotely for emergency situations. Comprehensive warranty covering manufacturing defects for 5 years. System designed to last far beyond its warranty coverage period (over 10 years). Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system. Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature Disclosure (ERSD), please confirm your agreement by selecting the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system. Getting paper copies At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a limited period of time (usually 30 days) after such documents are first sent to you. After such time, if you wish for us to send you paper copies of any such documents from our office to you, you will be charged a $0.00 per-page fee. You may request delivery of such paper copies from us by following the procedure described below. Withdrawing your consent If you decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. How you must inform us of your decision to receive future notices and disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below. Consequences of changing your mind If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us. All notices and disclosures will be sent to you electronically Electronic Record and Signature Disclosure created on: 3/26/2020 7:44:12 AM Parties agreed to: Mario Carrier, Daniel Maheux, David Narkewicz Unless you tell us otherwise in accordance with the procedures described herein, we will provide electronically to you through the DocuSign system all required notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you during the course of our relationship with you. To reduce the chance of you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required notices and disclosures to you by the same method and to the same address that you have given us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures electronically from us.
