Box 60398 Greenfield, MA 01301 Florence, MA 01062 Date: February 7, 2016 RE: Statement of Collaboration Friends of Hampshire County Homeless Individuals (FHCHI) and DIAL/SELF (D/S) have been in recent dialogue about the establishment of a residence for 6-8 chronically homeless persons in Hampshire County.  FHCHI is prepared to secure funding for purchase of the site and make a one-time financial gift as a payment.  D/S is prepared to support and service the project, key elements of which are outlined in this MOU. Mission of the Residence: The intention of FHCHI and D/S is that the residence provide permanent supportive housing for six to eight Hampshire County chronically homeless young people. The Roles of FHCHI and D/S in Purchasing the Residence site. FHCHI will locate a site and negotiate the price of the site, subject to final approval by D/S. FHCHI will provide the down payment, coordinate securing the balance of funding for the site and purchase the house which will be deeded to D/S. D/S will receive ownership, conditional upon commitments for sufficient grants and/or housing subsidies that, as a “package,” will supply sufficient cash to pay the monthly carrying costs of the property, including management and upkeep. D/S and FHCHI will negotiate a 30-year affordability and use restriction clause subject to CPA funding.  On-going Management of the Residence D/S will develop an application and intake procedure for the residence. D/S will develop operating policies and procedures. D/S will manage and direct the operation of the residence. D/S will provide services to residents, as appropriate and desired by residents, under current service contracts that D/S holds with a variety of funders, and/or through new contracts and grants. Repayment of Down Payment D/S agrees to use the residence for the purpose described above for a period of at least ten (10) years. If D/S ceases use of the residence for this purpose within ten (10) years, D/S shall pay to FHCHI an amount equal to the amount FHCHI contributes to the purchase of the site plus two per cent (2.0%) simple interest per annum. For example, if the FHCHI payment is $100,000 and D/S ceases use of the residence for the stated purpose after three years, D/S’s payment to FCHCI will be $102,000. Maintenance of the Residence GC will maintain the Residence in conformity with local applicable building and health codes. Changes to this Memorandum of Understanding Neither party to this Memorandum will make changes in any of its provisions without consultation and agreement by the other party. If changes are made, a new Memorandum will be drafted for review by both parties.
