Envirotech makes no health claims associated with this project and does not imply or guarantee that these conditions or any other health concerns will be eliminated. The purpose of this proposal is to provide a scope of work based on procedural standards as set forth in the Institute of Inspection Cleaning and Restoration Certification (IICRC) S520 Standard and Reference Guide for Professional Mold Remediation. This proposal also includes the cost for the remediation of the above structure. It does not address unforeseen, hidden or inaccessible conditions. The Client is responsible for providing power and water for machinery needed during the remediation. The Scope of Work is based on recommendations provided by: site visit General Procedures: The Work Area is ‘Contained’ by erecting a physical barrier (critical barrier) with Polythethylene sheeting material to separate affected areas from unaffected areas. HVAC registers and building openings in the remediation area are sealed off to prevent cross-contamination. Unauthorized personnel shall stay out of the ‘Contained Work Area’ and no construction or reconstruction shall be done until the containment is dismantled. Erecting critical barriers is an essential part of creating containment and establishing engineering controls. Critical barriers typically consist of 6 mil poly sheeting that is either attached directly to surfaces adjacent to the work area and/or attached to some type of framing. Great care is always taken to protect those surfaces that are adjacent to the work areas. However, the client should be aware that on occasion there is damage to those adjacent surfaces. Envirotech cannot be responsible for damage such as peeled paint, staple holes, screw holes and other collateral damage may that occur during the installation or removal of critical barriers. The Work Area is placed under a ‘Negative Pressure’ using Pressure Differentials to manage airflow. Contaminated areas will be negatively pressurized relative to unaffected or clean areas of the building to prevent cross contamination. Porous water damaged and/or contaminated materials are dismantled within the containment and removed from the site. Additional inspections are performed during the work. If inspection indicates water damage or fungal growth occurred beyond the indicated areas, then additional removal and/or cleaning may be necessary. The work area is HEPA vacuumed and wiped down with a prescribed solution and HEPA vacuumed again. NOTE: The “prescribed solution” will be noted in the Scope of Work below. It is the client’s responsibility to notify Envirotech of any chemical sensitivities or concerns regarding any cleaning products, paints, coatings or encapsulants listed in the scope of work. Acceptance of this contract is also an acceptance of the cleaning products, paints, coatings or encapsulants listed in the scope of work. The containment is dismantled and removed from the site following any post microbial testing being conducted on site and clearance is given. Technicians wear proper Personal Protective Equipment (PPE) consisting of appropriate respiratory protection, Tyvek© suits, rubber gloves, and/or work gloves when necessary. DAMON HOUSE Scope of Work: Damon House Contents Removal The two basements will be isolated, contained and negatively pressurized relative to the remainder of the indoor environment. A poly tunnel or enclosure will erected from the entrance of each basement to an exterior door to facilitate the safe removal of contents and to prevent cross contamination. All contents will be removed from both basements. At the client’s direction the contents will either be slated for disposal or to be saved and eventually cleaned. Envirotech will remove the contents from the basement, however, the client will be responsible to pack up the contents and deliver them to a safe storage area. NOTE: Some of the large shelving units and cabinets may remain the basement(s). Cost for Contents Removal: $12,500.00 Scope of Work: Damon House Basement Remediation Negative pressure containment conditions will remain in place during the remediation process. The empty basements will be carefully inspected for signs of visible mold growth and/or water damage. Some removal of mold damaged materials may be required. Wood surfaces, such as sub flooring, joists or beams may be wire brushed to remove surface mold. All surfaces and any remaining shelving or cabinets will be thoroughly and carefully Hepa vacuumed, treated with Fiberlock Shockwave and Hepa vacuumed again. Some surfaces may be sealed or painted with a clear anti-microbial sealant. A Thermastor Santa Fe Classic dehumidifier will be installed in each of the basements. Cost for Basement Remediation: $16,500.00 Cost for each Thermastor Santa Fe Classic dehumidifier (installed): $1,699.00 each Scope of Work: Damon House Contents Cleaning Envirotech will clean the stored contents, but will not be responsible for any pack up or moving. A clean staging room will be erected either at the storage location or at Damon House. All stored contents will be cleaned. Cleaning will consist of first thoroughly and carefully Hepa vacuuming each item. The selective use of cleaning solutions will be dependent upon the material and durability of a given item. Non-porous items such as glass, ceramics, metal and even finished wood will be wiped with an appropriate and safe solution. Extremely porous items such as paper, cardboard, baskets etc. may only be Hepa vacuumed or lightly brushed or blown out with compressed air. The more porous the item the less likely that it will come clean. Some items may ultimately need to be stored in sealed plastic bins in a clean dry environment just to keep them stabilized. Envirotech does not promise or guarantee that any given item will be returned to a normal fungal ecology. Cost for Contents Cleaning: $29,995.00 PARSONS HOUSE Scope of Work: Parsons House Contents Removal The three basements will be isolated, contained and negatively pressurized relative to the remainder of the indoor environment. A bulkhead door (if present and accessible) would also be used for contents removal. All contents will be removed from the basements. Since items to be salvaged are unknown at this time no cost has been included. Project Total: $113,485.00 Terms: The Project will be paid as follows: Client shall pay 1/2 of the Contract Price as outlined in the Service Proposal upon scheduling project. Client shall pay the remaining balance upon completion of project. Post Testing & Project Closure If Post Testing: An independent consultant must be chosen prior to the onset of the project and must be agreeable to both the client and Envirotech. Envirotech strongly suggests that post testing be performed by an independent third party consultant specializing in indoor air quality investigations and retained by the client. Any criteria for successful post testing must be established prior to the onset of the project. Post testing must be performed no sooner then 48 hours after completion of the project and no later than 72 hours after completion of the project. Once successful post testing has been achieved, all equipment and barriers will be removed. Terms and Conditions: 1. Repair of Moisture Problems: Client understands and agrees that Envirotech is providing only the services contained in and limited by the Service Proposal. Unless specifically stated in the Service Proposal, Envirotech is not responsible for identifying or rectifying the cause (such as flooding, sewer backups, structural deficiencies, or humidity) of the water damage, excessive moisture or mold contamination. Client understands that the failure to remedy the cause of the moisture problem will result in a recurrence of the water damage, moisture problem or mold contamination. Client is solely responsible for correcting the moisture problem and is advised to seek the advice of an appropriate professional. 2. Unforeseeable Conditions: Envirotech is not responsible for any unforeseen or hidden condition which was not visible at the time of the estimate. Envirotech will notify Client any hidden or latent deficiency, defect or other hazard that becomes visible during the course of work being performed under the Service Proposal. Envirotech will provide a “Change Order” estimate for the repair of said deficiency, defect or other hazard for the Client’s consideration prior to performing any work not otherwise outlined in the Service Proposal. 3. Refusal of Recommended Services: Client agrees that if Client and/or Client’s Insurer refuses services that Envirotech recommends, Envirotech will not be held responsible for any damages that the refusal may cause. 4. Hazardous Material: Envirotech’s Scope of Work does not include the identification, detection, abatement, encapsulation, or removal of asbestos or other similar hazardous substances. In the event that Envirotech encounters any such products or materials in the course of performing its work, Envirotech shall have the right to discontinue its work and remove its employees from the project until no such products, materials or hazards exist. Further, Envirotech shall receive an extension of time to complete its work and will receive compensation for delays as a result of such a situation. 5. Assessment Services: Envirotech does not perform assessment services, including but not limited to; testing, sampling or laboratory services. Client understands and agrees that Envirotech is not responsible for any errors, acts or omissions made by an independent consultant or laboratory. 6. Standard of Care: Envirotech will perform the services agreed upon in accordance with industry standards of care and applicable federal and state laws. 7. Service Completion: Envirotech will complete services in accordance with the Work Performance Schedule outlined in the Service Proposal, or for good cause, within a reasonable time period thereafter. 8. Data: All documents including but not limited to remediation reports and data generated by Envirotech are the intellectual property and work product of Envirotech and intended for the sole use performing the work outlined in the Service Proposal. Client shall not transfer, use or permit documents to be used as part of another project for a purpose for which they were not prepared, without Envirotech's express written consent. 9. Confidentiality and Non-Disclosure: Any information provided by the Client to Envirotech or by Envirotech to Client which is privileged, proprietary, confidential, or otherwise protected by any statutory or case law, including but not limited to any technical or pricing information, or any trademarked or copyrighted material, shall not be disclosed by either Client or Envirotech to any other person or entity without the other party’s express written consent. 10. Health Conditions: Envirotech does not imply or guarantee that these services will eliminate or reduce any symptoms believed or suspected to be related to the moisture problem, whether from allergies, asthma, respiratory conditions or any other health conditions. Client is advised to address any questions concerning health issues with a health care professional. Furthermore, Client hereby understands that some individuals may exhibit allergic responses or other unusual sensitivities towards contaminants, cleaning solutions and/or other products used during the cleaning and restoration process. Client hereby acknowledges that said individuals have been instructed to evacuate the Premises and they will not be permitted to return until the services have been rendered in full pursuant to the terms of this Contract. 11. Payment: Client agrees that all amounts are due and payable upon completion of project. If Client disputes any items, Client will notify Envirotech in writing within ten (10) days of project completion. Any items not in dispute shall be paid upon completion, minus the disputed amount with written notification. Envirotech shall have ten (10) days from date of notification to investigate disputed items. If any amount is not paid within fifteen (15) days of completion, Client agrees to pay a late fee of 5% of the amount due under the Service Proposal, and client further agrees to pay interest from the completion date until payment is received at a rate of 1.5% per month or the maximum rate allowed, whichever is less, by law. 12. Collection: Client will reimburse Envirotech for costs and expenses incurred in collection of amounts due under this Contract, including, but not limited to; attorney fees, collection fees and witness fees. 13. Default of Client by Bankruptcy: In the event that Client does not perform its obligations and does not correct default within ten (10) days of written notice by Envirotech, or Client becomes bankrupt or makes an assignment for the benefit of its creditors then Envirotech may cease work and treat the contract as repudiated. In such an event, an accounting shall be made and Envirotech shall be entitled to payment for all work completed at time of default. 14. Limit of Remedies: In the event of Envirotech’s liability, whether based on contract or tort (including but not limited to, negligence, strict liability, or otherwise), Client’s sole and exclusive remedy will be limited to, (at Envirotech’s option): Replacement or correction of any services not in conformance with this Contract, or To the repayment of the portion of compensation paid by Client attributable to the nonconforming Services. Envirotech will not be liable for any other damages, special, direct, indirect, incidental, consequential, or otherwise, and in no event shall Envirotech’s liability exceed the compensation for the nonconforming services. Envirotech accepts no greater liability than it contractually assumed with Client in this Contract. 15. Settlement of Disputes: In the event of any disputes, controversies, or claims between the Client and Envirotech relating to or arising out of any of the terms of this Contract, the Client and Envirotech agree that they shall engage in alternative dispute resolution including mediation and, if necessary, binding arbitration, and will not institute or file any legal action or proceeding. 16. Indemnification: Client agrees to protect, indemnify, hold harmless, and defend Envirotech, its employees, officers, agents, representatives, and heirs from and against any and all liabilities, judgments, demands, claims, fines, penalties, damages, forfeitures, and suits, together with reasonable attorneys’ fees and witnesses’ fees and other costs and expenses, which Envirotech may incur, become responsible for, or pay out for any portion outlined in this Contract. 17. Governing Law: This Contract shall be construed and enforced in accordance with and governed by the laws of the Commonwealth of Massachusetts. 18. Termination of Contract: In the event that any portion of the services is cancelled or modified, Envirotech shall immediately be paid for any services already performed. Furthermore, the provisions of this Contract shall be deemed severable, and the invalidity or unenforceability of any provision shall not affect the validity and enforceability of any other provision hereof.
