You may cancel this agreement if it has been signed by a party thereto at a place other than an address of the seller,
which may be his main office or branch thereof, provided you notify the seller in writing at his main office or branch by
ordinary mail posted, by telegram sent or by delivery, not later than midnight of the third business day following the
signing of this agreement. See the attached notice of cancellation form for an explanation of this right.
TERMS AND CONDITIONS
�. Entire Agreement: This Agreement shall consist of all of the information and terms contained in
this "Massachusetts Home Improvement Sale And Installation Agreement" (Schedule A) and the Contractor's
Warranties (Schedule B). Collectively, these documents represent the entire agreement between the Parties
and there are no prior or contemporaneous oral or written agreements or representations on which either Party
is relying. To be effective, any modifications to this Agreement must be in writing and signed by all Parties.
Any financing agreements for the purchase will be contained in separate financing documents and will
constitute a separate agreement.
2. Project Scope: Buyer agrees to purchase, and Contractor agrees to provide, the goods and/or
services described, for the Purchase Price identified, in the Project Description above in accordance with the
Terms and Conditions herein at the address provided by Buyer in the Project Description Above. Buyer agrees
to sign a completion certificate upon completion of the installation of the goods. Buyer may request Contractor
to try and obtain financing for the Buyer's purchase. Buyer understands such a request authorizes Contractor to
have Buyer's credit processed by Contractor. Buyer further understands that this request is only an estimate of
monthly payment and accurate payment information will be provided by the finance lender of approval. Any
financing agreements related to the purchase will be contained in separate financing documents. When
required to maintain structural integrity of the home, Contractor reserves the right to separate windows
otherwise indicated as joined on the contract. During the installation process Contractor will be working in and
around Buyer's residence using tools and equipment that may cause vibrations. Although every attempt will be
made to work with as much care as possible, it is suggested that Buyer remove all pictures, paintings,
collectibles, or other personal items that are hung or attached to the interior walls where work is being done.
Buyer acknowledges Contractor cannot be responsible for any damage that may occur to items left on interior
walls. Buyer also acknowledges that the costs of any electrical, plumbing or other utility work needed to
complete the project is outside the scope of this Agreement.
3. Optional Standby Program: Contractor offers an optional Standby Program pursuant to the
terms in this paragraph. Under the optional Standby Program, in exchange for a one-time discount of $500.00
off the Purchase Price, Contractor may, at its sole discretion, alter the Estimated Start and Completion Dates of
the installation based on its own production and installation schedules. By accepting the optional S500.00
discount Buyer agrees to participate in the optional Standby Program,and Buyer further agrees that: (i) he/she
will accept installation at any time prior to the Estimated Start Date as long as Contractor provides Buyer at
least 72 hours' verbal or written notice of its intent to begin the installation on a date other than the Estimated
Start Date; (ii) Contractor may extend the Estimated Start Date by up to 30 days by providing Buyer with written
notice of its intent to do so on or before the Estimated Start Date; (iii) to waive any claim or defense against
Contractor, in law or equity, based on Contractor's failure to meet the Estimated Start/Completion Dates as
long as Contractor provides proper notice as described in this paragraph. Buyer further agrees and
understands that any extended periods contemplated under the Standby Program are also subject to the
Delay/Unknown Conditions provisions in Paragraph 4 below. All notices required to be in writing under this
section will be provided to Buyer via email at the address provided by Buyer. Buyer may update or change the
email address used by Contractor for providing notice at anytime by providing written notice to Contractor at its
address above of any such change. Buyer is solely responsible for ensuring that Contractor has the correct
email address for notice purposes. Buyer understands that if they do not want to participate in the Optional
Standby Program they must inform the salesperson and reject the $500.00 optional standby discount.
BY INITIALING BELOW, BUYER ACKNOWLEDGES THAT (I) THEY HAVE READ AND UNDERSTAND THE
FOREGOING PARAGRAPH, (II) THEY UNDERSTAND THEY MAY OPT OUT OF THE OPTIONAL STANDBY
PROGRAM, AND (III) THAT IF THEY FAIL TO OPT OUT OF THE PROGRAM, THE ESTIMATED START AND
COMPLETION DATE OF THEIR PROJECT MAY VARY IN ACCORDANCE WITH THE TERMS OF THIS
PARAGRAPH.

4. Delay/Unknown Conditions: The Parties acknowledge and agree that the Estimated
Start/Completion Dates are estimates only, that these dates may vary, AND THAT TIME IS NOT OF THE
ESSENCE FOR BUYER. Buyer acknowledges and agrees that delays caused by events beyond Contractor's
control shall not constitute abandonment of this Agreement by Contractor and shall not be included in
calculating time frames for Contractor's performance under this Agreement, including the Estimated
Start/Completion Dates and/or extended periods for installation under the Optional Standby Program. Delays
beyond Contractor's control include but are not limited to Acts of God, labor strikes, inclement weather,
material shortages, shipping delays, manufacturing delays, pandemics or other regional medical emergencies,
government regulation, structural defects or pre-existing conditions at the Buyer's property, Buyer's inability to
qualify for or obtain financing or otherwise comply with Buyer's payment or other obligations herein.
Contractor's Cancellation: This Agreement is subject to Contractor's approval at Contractor's home offices. The
Contractor may cancel this Agreement if the Agreement is not approved by the Contractor's home offices. The
Contractor may also cancel this agreement at any time before installation has begun by notifying the Buyer of
such cancellation in writing and returning all monies paid by the Buyer to Contractor, without any further liability
or expense on the part of the Contractor to the Buyer.
5. Buyer's Cancellation: You may cancel this agreement if it has been signed by a party thereto at a
place other than an address of the seller, which may be his main office or branch thereof, provided you notify
the seller in writing at his main office or branch by ordinary mail posted, by telegram sent or by delivery, not
later than midnight of the third business day following the signing of this agreement. See the attached notice
of cancellation form (Schedule A) for an explanation of this right. In addition to the right of cancellation
provided for above, Buyer may also cancel this Agreement at any time subsequent to midnight of the third
business day after the Transaction Date by providing written notice of the same to Contractor at its address
above. If written notice of cancellation is provided subsequent to midnight on the third business day after the
Transaction Date then Buyer agrees to pay Contractor all actual expenses, including but not limited to any
commission/bonuses paid to Contractor's employees related to the Agreement. In addition to paying
Contractor its actual expenses, Buyer agrees to pay Contractor forty (40°%o) percent of the Purchase Price to
compensate Contractor for various other administrative and other costs incurred by Contractor which are not
readily calculable. In the event that written notice of cancellation is not provided by Buyer before the goods
being purchased by Buyer have been ordered from a third Party, have started production, have been produced
and/or before Contractor has commenced installation of the project, Buyer shall owe Contractor the entire
Purchase Price. In addition, Buyer agrees to pay any costs and/or expenses of collection and/or enforcement
of Contractor's rights under this paragraph including, but not limited to, reasonable attorney's fees and court or
arbitration costs.
6. Default: Buyer is in default if he/she fails to pay the Purchase Price, otherwise fails to comply
with any material provision of this agreement and/or fails to remedy any structural defect or other condition at
the Buyer' property that would prevent or interfere with Contractor's ability to complete the installation. If, after
written notice of default is provided to Buyer at its address above, Buyer fails to remedy such default within 7
calendar days (or make another suitable arrangement with Contractor in writing), Buyer agrees to pay
Contractor's actual damages, lost profits and/any consequential damages, including Contractor's attorney's
fees and costs to the maximum extent allowed under Massachusetts law. Buyer also agrees to pay any other
costs or expenses of repossession, collection, or realization on any security including court costs, to the extent
not prohibited by Massachusetts law.
7. Security Interest: Buyer grants Contractor a security interest under the Uniform Commercial
Code and other applicable law governing security interests in the property purchased pursuant to this
Agreement, including a security interest in any proceeds from the sale of such property. Buyer agrees that the
property purchased under this Agreement is, and will remain, personal property, regardless of the fact that said
personal property may become attached to Buyer's real property.
8. Notice of Right to Lien: The Contractor or any subcontractor who performs on this Agreement
or the materialman who provides home improvement goods or services and is not paid may have a claim
against the owner which may be enforced against the property in accordance with all applicable lien laws.
9. Notice of Registration: All home improvement contractors and subcontractors shall be
registered, any inquiries about a contractor or subcontractor relating to a registration should be directed to:

10. Construction Related Permits - Notice to Owner: This project will require building permits. It
shall be the obligation of the Contractor to obtain such permits as the owner's agent. Owners/Buyers who
secure their own construction-related permits or contract with unregistered contractors will be excluded from
the Guaranty Fund provisions of M.G.L. c. 142A.
11. Assignment: Buyer agrees that Contractor can assign any of Contractor's rights under this
Agreement without Buyer's consent and that the person to whom Contractor assigns this Agreement shall be
entitled to all of Contractor's rights under this Agreement. Buyer understands that Buyer's rights will not be
affected by such assignment.
12. Buyer's Representation: Buyer represents and warrants that (a) any information furnished by
Buyer in connection with this transaction, including in the Project Description, is true and complete; (b) no
person has promised or offered to pay, credit, or allow the Buyer any compensation or reward for procurement
of an Agreement with others as an inducement to enter into this Agreement; (c) no person has offered,
delivered, paid, credited, or allowed to Buyer any gift, bonus, award, money, merchandise, trading stamps, or
cash loan as an inducement to entering into this Agreement; (d) Buyer is the owner of the property where the
goods and services are being provided.
LIMITED WARRANTY: CONTRACTOR'S WARRANTIES VARY BY PRODUCT, A COPY OF CONTRACTOR'S
WARRANTIES ARE ATTACHED HERETO AS SCHEDULE B. NOT ALL WARRANTIES APPLY TO ALL PRODUCTS,
CONSULT THE ATTACHED WARRANTIES TO DETERMINE WHICH WARRANTY APPLIES TO YOUR PRODUCTS.
ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED TO THE MAXIMUM EXTENT ALLOWABLE
BY LAW. THE WARRANTIES ATTACHED HERETO PROVIDE YOU WITH SPECIFIC RIGHTS. YOU MAY HAVE
OTHER RIGHTS UNDER APPLICABLE LAW. BUYER UNDERSTANDS THAT NO WARRANTY WILL BE EFFECTIVE
WHILE A BALANCE DUE REMAINS ON THIS AGREEMENT.
13. Arbitration of Disputes: THE CONTRACTOR AND THE HOMEOWNER HEREBY MUTUALLY
AGREE IN ADVANCE THAT IN THE EVENT THE CONTRACTOR HAS A DISPUTE CONCERNING THIS
CONTRACT, THE CONTRACTOR MAY SUBMIT SUCH DISPUTE TO A PRIVATE ARBITRATION SERVICE WHICH
HAS BEEN APPROVED BY THE DIRECTOR OF THE EXECUTIVE OFFICE OF CONSUMER AFFAIRS AND
BUSINESS REGULATIONS AND THE CONSUMER SHALL BE REQUIRED TO SUBMIT TO SUCH ARBITRATION
AS PROVIDED IN M.G.L. c. 142A. Such arbitration will be conducted in accordance with the rules and
regulations set forth in 201 CMR 14.00 et seq.

14. Severability: In case any provision in this Agreement shall he invalid, illegal or unenforceable,
the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired
thereby and such provision shall be ineffective only to the extent of such invalidity, illegality or unenforceability.
15. Miscellaneous: In construing this Agreement, the gender and number of words used may be
changed to meet the context. Wherever a singular expression is used in this Agreement, that expression is
considered as including the plural where required by the context. Any part of this Agreement contrary to the law
of this state shall not invalidate other parts of this Agreement. This Agreement is to be governed by the laws of
the state of Massachusetts, except as may be preempted by federal law. The Parties agree that digital
signatures shall have the same effect as original signatures and that a copy of this Agreement shall have the
same force and effect as an original. The Parties acknowledge and agree that the recitals contained at the
beginning of this Agreement and in the Project Description section are incorporated as material terms herein
and integral to this Agreement.
Buyer hereby acknowledges they have carefully read and understand the entire Agreement and have received a
completed, signed and dated copy of the Agreement, including the Notice of Cancellation forms and a copy of
the Contractor's property/casualty insurance policy on the Agreement Date. Buyer also acknowledges they have
received a copy of the lead hazard information pamphlet informing of the potential risk of the lead hazard
exposure from renovation activity to be performed in Buyer's dwelling unit and that Buyer received this
pamphlet before the work began. Further, Buyer acknowledges that they were orally informed of their right to
cancel this transaction.
