Capitalized terms used but not otherwise defined in these Terms&Conditions shall have the meanings assigned to them in the documents comprising this Agreement. 1. TIME OF COMMENCEMENT&SUBSTANTIAL COMPLETION. 1.1. Work on the Project(including all labor,materials,equipment and services,whether completed or partially comple d under this Agreement,the"Work")will,unless otherwise scheduled in the Proposal,commence no later than sixty days(60) ollowing the receipt of all applicable approvals including but not limited to the CEC Loan Approvals(the"Start Date"). 1.2. Installer estimates that the Work will be substantially completed within one hundred twenty(120)days following the Date (the"Completion Date"). Substantially complete shall be defined as the date the Owners receive a utility interconn ction,or similar such certification from the applicable authority. 1.3. If the Work is delayed at any time by causes beyond Installer's reasonable control,which causes may include,but not lie limited to, weather, acts of war or terrorism, material shortages, delays in the delivery of materials, Change Orders, inspection/permitting delays, labor disputes, design changes, hazardous site conditions, design flaws or impairments, subcontractor disputes,or Owner's use or directives,then the Completion Date will be extended for such equal number of days as occasioned the delay. In addition,the Completion Date may be extended for such reasonable time as O rter and Installer may determine in writing pursuant to a Change Order. 1.4. Installer shall have all materials required to commence the Work at the Premises no later than the Start Date. 1.5. Installer shall supervise and direct the Work in accordance with industry and regulatory standards, and it shall solely responsible for all construction means,methods,techniques,sequences and procedures and for coordinating all p rtions of the Work hereunder. 2. WARRANTIES OF INSTALLER 2.1. Installer warrants to Owner that all materials,equipment,and accessories incorporated into the Work by Installer will be new unless otherwise agreed in the Proposal Except for the warranty specified in this Section 2.1,Installer disclaims any and all warranties with respect to any materials,equipment,or accessories incorporated into the Work,it being the understanding of Owner that such warranties,if any,shall be provided by the manufacturer thereof. 2.2. Installer warrants to Owner that all labor and services provided by Installer and induded in the Work shall be of goad quality, free from material defects,and in material conformance with the Contract Documents. 2.3. Upon written notice from Owner delivered to Installer no later than the toyer anniversary date of the Comple on Date, Installer shall promptly correct any labor and services in breach of Section 2.2 above.Installer's obligation to promp y correct any labor and services in breach of Section 2.2 shall be Owner's sole and exclusive remedy for Installer's breach of .2 above. The provisions of this Artide apply to Work performed by third parties engaged by Installer as well as to work don by direct employees of Installer. 2.4. To the extent assignable,Installer shall pass through to Owner all original manufacturers'warranties and shall provi a Owner with its reasonable assistance in connection with any warranty claim against a manufacturer for defective materials, uipment, or accessories incorporated into the Work by Installer.Installer makes no representation or warranty regarding the aranties of manufacturers whose materials, equipment, or accessories are incorporated into the Work. Owner acknowl s that manufacturers'warranties may provide coverage to Owner for replacement of defective materials,equipment,or a essories, but that an individual manufacturer's warranty may not cover 100%of the costs and expenses borne by Installer to tro bleshoot and/or replace defective materials,equipment,or accessories.Payment to Installer for such uncovered corrective maintenance costs and expenses shall be Owner's responsibility. 2.5. Enhanced Product Warranty. In instances where Installer is required to troubleshoot and/or replace defective materials, equipment,or accessories incorporated into the Work by Installer prior to the first anniversary date of the Completion Date, Installer shall waive all of its direct labor costs associated therewith in excess of the amount covered by the manufacturer's warranty,and Owner shall not be required to pay Installer such excess amount.Within the first year following the Completion Date,Owner may optionally select to purchase an extension to Installer's Enhanced Product Warranty through the tenth anniversary date of the Completion Date. Battery storage equipment, electric vehicle charger equipment, and/or tracker equipment (single-or dual-axis) incorporated into the Work by Installer are not eligible for Enhanced Product Warranty coverage.With the exception of Installer's direct labor costs,other direct and indirect expenses(including equipment rentals) incurred by Installer in conjunction with the troubleshooting and/or replacement of defective materials, equipment, or accessories incorporated into the Work by Installer are also not eligible for Enhanced Product Warranty coverage. Notwithstanding anything contained herein to the contrary,Installer's warranties and obligations under this Artide do not extend to(I)any materials,equipment,or accessories not selected by Installer or its agents,or to work performed by third parties not engaged by Installer, (ii) any damage to the Work due to weather,animal infestation,or other extern factors unrelated to Installer's installation workmanship, or (ii) the effectiveness of any accessories incorporated into tl�e Work induding,by way of example,pest abatement barriers(so-called critter guards)and snow abatement systems(so-cal,ed snow guards).Damage or defect caused by abuse,modifications not executed by Installer,improper or insufficient tenance, improper operation,or normal wear and tear shall void Installer's warranties and obligations hereunder. 2.7. Installer disclaims any and all warranties or guarantees with respect to the level of electrical production of the Project. Information with respect to electrical production of the Project is based on manufacturer's estimates of installed materials,and of peak sun hours,sun direction,and other factors.Factors such as dust,shading,snow,ice,weather,and other na viral and man-made elements,including usage,may adversely affect electrical production. THE FOREGOING WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES OF Q ALITY AND PERFORMANCE, WHETHER WRITTEN, ORAL OR IMPLIED, AND ALL OTHER WA NTIES INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PAR CULAR PURPOSE, NONINFRINGEMENT OR USAGE OF TRADE ARE HEREBY DISCLAIMED. THE RE EDIES STATED HEREIN CONSTITUTE OWNER'S EXCLUSIVE REMEDIES AND INSTALLER'S ENTIRE BILITY FOR ANY BREACH OF WARRANTY. 3. COMPLIANCE WITH LAWS. 3.1. Unless otherwise specified in this Agreement,Installer shall secure all necessary permits,any applicable rebate applications, other governmental licenses and inspections necessary for the completion of the Project Unless otherwise specified in this Agreement,fees associated with acquiring such permits,licenses and inspections will be borne by Installer. I 3.2. Owner shall furnish at Owner's expense,all of the following as deemed necessary by the Installer 3.2.1. Legal descriptions (including legal limitations such as easements, rights of way, codes, covenants, conditions,restrictions,design guidelines),surveys and utility locations for the Premises;and 3.2.2. Any required engineering plans,drawings,calculations,or specifications(the"i, ") (i)in order to obtain any required non-ministerial permits or inspections,or(ii)in order to adequately s-cure the Premises and provide reasonable safety precautions.Owner acknowledges that some municipalitie.,utilities or other necessary permitting parties may require specific engineering studies or inspections in addition to those customary required or already obtained by Owner 3.3. Installer shall give all notices and comply with all laws,ordinances,rules,regulations,and lawful orders of any public authority . applicable to the performance of the Work,and shall promptly notify Owner if it has a reasonable basis to conclude that the designs,plans or Additional Plans are at variance therewith. 3.4. Installer shall be responsible for all safety precautions in connection with the Work. Installer shall take all legally required and commercially reasonable safety precautions at the Premises. 3.5. Installer and all subcontractors shall be registered as home improvement contractors and any inquiries relating to a registration should be directed to:Office of Consumer Affairs and Business Regulation Ten Park Plaza,Suite 5170 Boston,WA 02116 Phone:(617)973-8700 4. INSURANCE. Installer's liability insurance shall be purchased and maintained by the Installer to cover claims under workers' compensation acts and other employee benefit acts,daims for damage because of bodily injury,induding death,and from claims for property damage to the Premises which may arise out of or result from Installers operations under this Agreement,whether such operations be by itself or by any subcontractor or anyone directly or indirectly employed by any of them.This insurance shall be written for not less than the minimums required by the state where the Project is located under applicable law and state rebate programs.Certificates of such insurance shall be filed with Owner prior to the commencement of the Work at Owner(s)'request. Owner shall maintain liability insurance(either as separate policy or included in a homeowners or excess liability policy)sufficient to meet the Owner indemnity obligations under Section 8 below. 5. SUBCONTRACTORS,. Owner acknowledges that portions of the Work may be allocated to Subcontractors. Installer shall not employ any subcontractor to whom the Owner may have a reasonable objection. Installer shall not be required to con Tact with anyone to whom it has a reasonable objection.The Guaranteed Maximum Price includes the cost of a qualified electrician for electrical interconnection to the utility. Unless specifically noted in the Proposal, additional costs for any required electrical upgrades or improvements to the site's electrical service and components shall be the responsibility of Owner and are not included in the Guaranteed Maximum Price. 6. SITE CONDITIONS. Owner has no knowledge of any pre-existing toxic materials, hazardous substances, or detective or dangerous conditions,structural or otherwise which may pose a health or injury risk to Installer or Installer's employees or agents. Page 4 of 6— SUNBUG SOLAR,LLC©2020 INSTALLATION AGREEMENT DocuSign Envelope ID:CECOBF60-8405-4C37-8C6A-70CCCC567503 In the event that Installer observes hazardous site conditions,Installer will notify Owner promptly and Owner and Installer will,if feasible,execute a Change Order for the remediation of such conditions.Such hazardous conditions will postpone the Completion Date by the amount of days required to complete remediation. The Guaranteed Maximum Price includes the cost of basic site preparation,but does not indude the cost of any remedial site preparation as contemplated in this Section.The cost of such remedial site preparation shall be the responsibility of Owner. 7. INCENTIVE APPLICATIONS. Unless otherwise set forth in this Agreement,Installer shall apply for available incentives on behalf of Owner.Owner will assist Installer in such application process and warrants that all Owner information provided therein (including financial information,home value information and other personal information)shall be true,correct and complete as of the date of the application.Owner agrees that Installer will be listed as the primary installer/contractor on any application and be credited as the installer of record on all public documents and correspondence concerning the Project. Owner hereby acknowledges that Installer makes no warranty or guarantee of the availability of all,or any part of,any federal,state,local or utility incentives,tax credits or deductions.Owner is encouraged to consult with a tax advisor as to the availlabiliiy of tax credits with respect to the Pr ject. 8. INDEMNITY. 8.1. To the fullest extent permitted by law,Owner shall indempify,hold harmless and reimburse Installer,its agents and employees from and against all claims,damages,losses and expenses(including,but not limited to reasonable attorney's fees)wising out of or resulting from any death,bodily injury or illness or destruction to property,including any resulting loss of use thereof(i) due to a breach of Owner's warranty contained in the first sentence of Section 6 above or(A)to the extent resulting from the negligence or misconduct of Owner or its invitees or agents (other than Installer and its subcontractors). Owner's indemnification obligations herein are conditioned upon the following(a)it is promptly notified in writing;provided,that the indemnified party's failure to promptly notify shall not relieve the indemnifying party of its obligations hereunder to the extent the indemnifying party is not actually prejudiced,(b)Owner is allowed to exercise sole control over the defense of any claim and all related settlement negotiations(with counsel reasonably acceptable to the indemnified party);and(c)the indemnified party provides Owner,at Owner's expense,all reasonably necessary assistance,information,and authority to perform the above. The indemnified party shall have the right to participate in its defense with counsel of its own choosing at the indemnified party's sole cost and expense. 8.2. The foregoing notwithstanding,Owner will not make any offers of settlement nor enter into any settlement agreements without the written consent of the indemnified party,which consent will not be unreasonably withheld or delayed. 9. LIMITATIONS ON DAMAGES AND LIABILITY. Except in connection with Owner's obligations under Sectioili 8,each party's liability to the other party for any loss,cost,claim injury,liability,or expense,including reasonable attomey's fees,relating to or arising from any act or omission in its performance of this Agreement,shall be limited to the amount of direct damage actually incurred. Except in connection with Owner's obligations under Section 8,in no event shall either party be liable to the other party for any indirect, incidental, special, consequential, or punitive damages of any kind whatsoever. This waiver shall survive any termination of this Agreement. 10. CHANGE IN THE WORK. Owner,without invalidating this Agreement,may seek changes in the Project consisting of dditions, deletions,or modifications.In addition,changes in the Project maybe necessitated by permitting or regulatory requirements All such changes in the Project shall be authorized by a written Change Order signed by Owner and Installer. Installer will advise er of the cost of a proposed Change Order,and,if executed,the Guaranteed Maximum Price or price per watt will be adjusted ac ordingly. All Change Orders will include revision of the Completion Date. 11. TERMINATION. 11.1. If a Change Order is necessary to complete the work,either party has the option to terminate the agreement. 11.2. Either party may terminate this Agreement by a written notice(a"Default Notice")if the other party commits an material breach of this Agreement;provided,that if such breach is capable of cure,such party shall have seven(7)days fo wing its receipt of a Default Notice(the"Cure Period")to cure such breach to the non-breaching party's reasonable satin ction.If such breach is not cured prior to the expiration of the Cure Period,the non-breaching party may terminate this eement immediately by written notice. By way of example only,material breaches include the following. (a)Owner fails make a payment when due(in which event Installer may,in its discretion,also suspend work until payment is made);(b)O er fails to promptly execute a Change Order necessitated by a revision in the Minimum Technical Requirements of a permitting body or regulator,(c)Installer persistently or repeatedly refuses or fails to supply enough properly skilled workers or proper materials; (d) Installer fails to make payment to subcontractors for materials or labor in accordance with the respective agreements between the Installer and subcontractors;and(e) Installer persistently disregards laws,ordinances,or rules,regulations or orders of a public authority having jurisdiction. 11.3. If the CEC Loan Approvals are not obtained,this Agreement shall automatically terminate unless Owner provides Installer with prompt written notice that it wishes to proceed with the Project. 11.4. Either Owner or Installer may terminate this Agreement upon fifteen(15)days prior written notice,if the parties are unable to promptly agree on the terms of a Change Order reasonably necessary for the completion of the Project(,g.,changes due to regulatory requirements or hazardous conditions). If this Agreement is terminated for any reason,Owner shall pay Installer for all work completed and materials used through the date of termination. 11.6. Notwithstanding anything to the contrary set forth herein,Sections 2,the first sentence of Section 6,8,9,11(d),11($),12,13 and 14 of this Agreement and any remedies for the breach thereof,shall survive the termination of this Agreement under the terms hereof. Termination of this Agreement shall not relieve or release either party from any rights,liabilities or obligations which it or she has accrued prior the effective date of such termination. 12. CHOICE OF LAW. This Agreement shall be governed by the internal laws of the Commonwealth of Massachusetts without regard to principles of conflicts of laws. Disputes arising hereunder shall be adjudicated solely and exclusively in Boston,Massachusetts. 13.13. PROMOTIONAL USE OF PROJECT. Installer may use the description and images of the Project along with any supplied recommendations or testimony of Owner for promotional purposes. This Agreement set forth the entire agreement and understanding between Owner and Installer relating to the subject matter hereof and merges all prior discussions between them. If any one or more of the provisions in this Agreement are deemed void by law,then the remaining provisions will continue in full force and effect. No waiver by eit.ier party of any term or condition of this Agreement,whether by conduct or otherwise,in any one or more instance,shall be deemed a continuing waiver of any such term or condition,or a waiver of any other term or condition of this Agreement. Headings set forth in this Agreement are solely for the convenience of the parties and have no legal effect The singular shall include the plural,and the masculine gender shall include the feminine and neuter,and vice versa,unless the context otherwise requires.This Agreement may be executed and delivered either originally or by facsimile transmission,and in one or more counterparts,each of which shall be deemed an original and all of which taken together shall constitute one and the same instrument.
