Narrative: 10 Hawley Street, Northampton, MA (the “Property”) – Redevelopment of the
Former St. John Cantius Church (the “Project”)
Proposed By: O’Connell Hawley LLC
The Project is located at 10 Hawley Street, Northampton, MA and further identified as “Parcel
B”, an approximately .352 acre portion of Parcel Number 32A -171 (the “Property”). The Property
includes a vacant building (the “Building”), which was previously used by the Roman Catholic
Bishop of Springfield as the St. John Cantius Church. The owner, O’Connell Hawley LLC (“OH
LLC”), purchased the Property in March 2020, and after exploring a number of potential adaptive
reuse concepts, was unsuccessful in its attempt to secure an end user. These unsuccessful attempts
were compounded by rapidly increasing construction costs (as a result of COVID-19 driven labor
shortages and supply chain interruptions) and extensive deferred maintenance, which caused
asking rents to be greatly exceed the going market rate. Prior to OH LLC’s purchase, and since
January 3, 2010, the building had sat vacant, with no capital improvements made over the same
period. This has led to significant deferred maintenance to the building envelope. As a result, the
building has been the subject of two demolition permit applications, the second of which is still
active and has been continued until March 1, 2022. The lack of private market response, either by
potential tenants or other investors, also suggests further pressure on the long-term financial
viability of the existing building, absent CPA funds.
Since the initial application, community and neighborhood residents have expressed a sincere
interest in preserving the Property, citing among other things, its original construction date
(completed in 1913) and have voiced their opposition through various media outlets. The City of
Northampton (the “City”), through its Planning & Sustainability Department, made an offer to
purchase the Property, with the intent to preserve the existing structure and components, and re-
purpose the space. Although not explicitly stated within the offer, the City’s proposed
programming would have required interior fit-out work: the vestibule, sanctuary, and sacristy
would require further subdivision and full height partitions. OH LLC’s redevelopment plans, while
focused on residential rather than commercial use, would still follow the same general approach.
What Community Preservation criteria – both general and program-area specific – does this
project meet?
Based on the “City of Northampton Community Preservation Plan 2016-18” (the “Preservation
Plan”), the Project meets a majority of both general and specific criteria. While the Project will
not be seeking funding on the basis of delivering “Community Housing”, when evaluated in the
larger historical context of the City’s development, its prior use, and with the adjacent commercial
core, the materials, height and scale of the building are harmonious with the surrounding
community. A photo set cataloging the Property (relative to the neighborhood) has been included
for reference purposes as part of Exhibit A. OH LLC anticipates the Project will be both LEED
and Energy Star certified, with high efficiency, all-electric heating, cooling and domestic hot water
systems installed throughout. Also, given its close proximity to the City’s main retail corridors and
existing sidewalk network, the Project will promote walkability and lessen the need for single-
occupancy vehicle trips. The latter was a specific objective listed under the “Transportation”
section of the “Sustainable Northampton Comprehensive Plan”.

OH LLC acknowledges that the pursuit of the demolition permit listed above, by its very nature,
threatens the continued “existence” of the building; therefore, CPA funding would help “save” the
Property.
OH LLC’s plans will seek preservation of the main exterior features and leave the footprint
unchanged (neither expanded nor reduced). Most notably, the rectangular shape of the building
and the bell tower located at the southwest corner of the Property will remain. This will help honor
the collective contributions of the City’s (relatively) early immigrants to the City’s unique
character. Further, as identified in the Pomeroy Terrace National Historic District nomination, a
copy of which has been enclosed, the central rose window, limestone pendants and trim, and
central entrance, will be preserved. OH LLC’s and its affiliate’s longstanding construction and
asset management experience will ensure that the Project is completed on time, within budget, and
properly funded once operational. OH LLC agrees to grant to the City a to-be-negotiated
permanent historic preservation restriction in recognition of the Property’s historical heritage and
architectural value.
What community need(s) does this project serve? If the project serves multiple needs and
populations, please describe them. If the project serves a population that is currently underserved,
please describe.
As described in the Preservation Plan, “Historic properties are vitally important in establishing the
character of a community, and play a crucial role in defining a sense of place”. The Property’s
prominent location, serving as an architectural fixture in the City’s Ward 3 since the early 20th
century, provides a connection to the past and serves the greater community’s request to preserve
certain buildings that can tell the community’s story. However, as mentioned above, the cost
implications for a full renovation have rendered the Building functionally obsolete. The
Preservation Plan correctly states that, “There is a need, therefore, for a funding source to provide
a bridge between restorations and tear downs, and to create incentives for property owners not to
demolish”. The Community Preservation Fund would work exactly in that capacity for this Project.
What specific guarantees will assure the long-term preservation of the project?
OH LLC acknowledges that the redevelopment shall conform to the applicable standards set forth
by the Secretary of the Interior, which prescribe certain industry-level techniques that have been
proven to protect and stabilize historical properties. Further, OH LLC agrees to enter into a
Preservation Restriction Agreement with the City to ensure that future maintenance and repairs are
OH LLC obligations and that the exterior appearance of the Building envelope is left largely
unchanged. OH LLC and its affiliates have had a longstanding ownership and operational presence
in the City and have been “in-business” in the region since 1879. Upon completion, the Property
will be properly funded, administered and maintained.
What community support does the project have? Explain the nature and level of the support.
OH LLC has begun initial outreach to community members and has received positive initial
feedback. Those parties have pledged to show support during future Community Preservation
Committee (the “CPC”) meetings and OH LLC anticipates letters of support and other forms of
public declarations to be submitted to the City and through various media channels in the very near
term.

How will the success of this project be measured?
The success of the Project will be measured by the timely delivery of the finished units and through
OH LLC’s ability to instill a sense of pride in the completed Project among the City and
surrounding neighborhood. The intent will be to return the look of the Building to an earlier era,
one in which the exterior features noted above (e.g. the trim, brickwork and the central entrance)
are highlighted and the original craftsmanship evident.
Is ongoing maintenance and upkeep required? If yes, please explain how this will be
accomplished.
Yes, as is the case with any other property, ongoing maintenance and upkeep will be required.
However, OH LLC and its affiliates have decades of experience in property and asset management,
capital budgeting, and construction. Property managers and project accountants will be specifically
assigned to the Property to prevent the same level of deferred maintenance that was inherited by
OH LLC to occur again.
Project Budget: The total estimated budget for this Project is $4,535,000, which includes the cost
of preserving the Building exterior, architectural/engineering design fees, land purchase price
allocation and interior hard costs. In addition to the CPA funding, the Project will be financed
through a combination of self-funded applicant equity and traditional construction financing.
Copies of Project quotes (related to the exterior repairs) have been enclosed. The final fixed budget
will require advancement of the design documents.
Multi-Year Funding: The scope of work covered by the CPA funds is expected to be completed
in less than one year, and therefore, should not require future funding.
Project Timeline: Assuming a May 2022 CPC decision, the Project can begin shortly thereafter,
with twelve to fourteen months currently estimated for Project duration. It is anticipated that the
interior work can run concurrently with the exterior work, but such work will ultimately depend
on any future municipal approvals.
Feasibility:
Assuming successful funding through the CPC, the Project will require a certain level of zoning
relief through the City’s Zoning Board of Appeals, likely in the form of a special permit, to address
the pre-existing non-conforming nature of the Building as it relates to the Central Business
District’s dimensional setback and landscaping requirements, but residential use (including
multifamily) is allowed by right. Further, “Reuse of an historic educational or religious building
for any residential use on the ground floor or any other commercial use not otherwise allowed in
the district, provided that such use is within the footprint of the existing building”. OH LLC’s plan
currently contemplates all redevelopment to occur within the existing footprint, without expansion.
While site plan and architectural approvals will be required from both the Planning Board and
Central Business Architecture Committee, as well as a stormwater management permit from the
Department of Public Works, that process is anticipated to occur in the ordinary course and will
not be an impediment. Similarly, while a Preservation Restriction Agreement granted in favor of
the City will be required, OH LLC does not view this as a barrier to Project implementation either.
OH LLC does not foresee Conservation Commission approval to be required.

In terms of building-level assessments, OH LLC has retained an environmental engineering firm
to analyze the extent of hazardous materials contained within the Building and has received a full
inventory of their location and estimated quantities. OH LLC’s abatement contractor is highly
experienced in remediating buildings based on this scope of work. All remediation methods shall
comply with applicable rules and regulations. Members of the design team have evaluated the
Project, provided bid assistance and have advanced their drawings to confirm constructability.

PELLA WARRANTY:
Pella products are covered by Pella's limited warranties in effect at the time of sale. All applicable product warranties are incorporated into and become a part of
this contract. Please see the warranties for complete details, taking special note of the two important notice sections regarding installation of Pella products and
proper management of moisture within the wall system. Neither Pella Corporation nor the Seller will be bound by any other warranty unless specifically set out inthis contract. However, Pella Corporation will not be liable for branch warranties which create obligations in addition to or obligations which are inconsistent with
Pella written warranties.
Clear opening (egress) information does not take into consideration the addition of a Rolscreen [or any other accessory] to the product. You should consult your
local building code to ensure your Pella products meet local egress requirements.
Per the manufacturer’s limited warranty, unfinished mahogany exterior windows and doors must be finished upon receipt prior to installing and refinished annually,
thereafter. Variations in wood grain, color, texture or natural characteristics are not covered under the limited warranty.
INSYNCTIVE PRODUCTS: In addition, Pella Insynctive Products are covered by the Pella Insynctive Products Software License Agreement and Pella Insynctive
Products Privacy Policy in effect at the time of sale, which can be found at Insynctive.pella.com. By installing or using Your Insynctive Products you are
acknowledging the Insynctive Software Agreement and Privacy Policy are part of the terms of sale.

(CCPA), California residents have specific rights to request this information, request to delete this information, and opt out of the sharing or sale of this information

ARBITRATION AND CLASS ACTION WAIVER ("ARBITRATION AGREEMENT")
YOU and Pella and its subsidiaries and the Pella Branded Distributor AGREE TO ARBITRATE DISPUTES ARISING OUT OF OR RELATING TO YOUR
PELLA PRODUCTS (INCLUDES PELLA GOODS AND PELLA SERVICES) AND WAIVE THE RIGHT TO HAVE A COURT OR JURY DECIDE DISPUTES. YOU
WAIVE ALL RIGHTS TO PROCEED AS A MEMBER OR REPRESENTATIVE OF A CLASS ACTION, INCLUDING CLASS ARBITRATION, REGARDING
DISPUTES ARISING OUT OF OR RELATING TO YOUR PELLA PRODUCTS.You may opt out of this Arbitration Agreement by providing notice to Pella no later
than ninety (90) calendar days from the date You purchased or otherwise took ownership of Your Pella Goods. To opt out, You must send notice by e-mail topellawebsupport@pella.com, with the subject line: “Arbitration Opt Out” or by calling (877) 473-5527. Opting out of the Arbitration Agreement will not affect the
coverage provided by any applicable limited warranty pertaining to Your Pella Products. For complete information, including the full terms and conditions of this

Seller shall not be held liable for failure or delay in the performance of its obligations under this Agreement, if such performance is hindered or delayed by the
occurrence of an act or event beyond the Seller’s reasonable control (force majeure event), including but not limited to earthquakes, unusually severe weather and
other Acts of God, fire, strikes and labor unrest, epidemics, riots, war, civil unrest, and government interventions. Seller shall give timely notice of a force majeureevent and take such reasonable action to mitigate the impacts of such an event.
Product Performance Information:
U-Factor, Solar Heat Gain Coefficient (SHGC), and Visible Light Transmittance (VLT) are certified by the National Fenestration Rating Council (NFRC).

Manufacturer stipulates that these ratings conform to applicable NFRC procedures for determining whole product performance. NFRC ratings are determined for afixed set of environmental conditions and a specific product size. NFRC does not recommend any products and does not warrant the suitability of any product for
any specific use.
Design Pressure (DP), Performance Class, and Performance Grade (PG) are certified by a third party organization, in many cases the Window and Door
Manufacturers Association (WDMA). The certification requires the performance of at least one product of the product line to be tested in accordance with the
applicable performance standards and verified by an independent party. The certification indicates that the product(s) of the product line passed the applicable
tests. The certification does not apply to mulled and/or product combinations unless noted. Actual product results will vary and change over the products life.

TERMS & CONDITIONS:
This form constitutes a contract between Buyer and the Seller Pella Products Inc. Prices are subject to change anytime after 5 days following date of estimate and do not
guarantee availability of any product listed. Pella Products Inc. management has final authority on acceptance of this order. Your signature confirms the accuracy of the product
(s) chosen.
Pella Products assumes no responsibility for accuracy of take offs from drawings or blueprints or that the products listed will be sufficient to complete customer's intended
project. The Buyer agrees that the product(s) listed herein are correct, final and cannot be changed, returned or canceled.
Deposits are partial payment of the contract and are not refundable. The Buyer agrees that if paying by credit card that authorization is granted to the Seller to debit the Buyers
credit card by signing this contract. The Buyer agrees that payment discounts do not apply when paying with a credit card. A 1-1/2% SERVICE CHARGE per month (18% PER
ANNUM) will be added to all outstanding balances past our stated terms, plus lawyer and account fees for collecting outstanding accounts.
The Buyer agrees that the customer delivery date is a realistic estimate of when the product is to be delivered. Items remaining in our warehouse for more than 30 days beyond
the agreed to delivery time will be subject to a storage and handling fee of 1% of the net amount of the order ($25.00 minimum charge).
The Buyer agrees that the product can be delivered without the Buyer present and agrees to accept the shipping documents as proof of delivery. The Buyer agrees not to hold the
Seller responsible for any damage to driveways, sidewalks, trees and overhead wires caused by the Seller's delivery vehicles.
The Buyer agrees to examine the product(s) upon delivery and within 7 DAYS OF DELIVERY provide the Seller notice of any discrepancy between the product(s) ordered and
the products(s) delivered, including hardware. If the Buyer does not provide notice within 7 days the Buyer accepts the product(s) as is.
If Buyer is a Third Party Contractor the Third Party Contractor warrants and represents that the products purchased herein from Seller meet or exceed the regular requirements
required by the Vermont Residential Building Energy Standards (RBES) for the year of installation. Buyer, Third Party Contractor, further warrants and represents that Pella
Products Inc. is not the builder or contractor, and is not responsible for completing or providing any RBES certificate for this project. Buyer further agrees to indemnify, defend,

and hold harmless Seller for any and all claims that may result from the Vermont Residential Building Energy Standards.
If Buyer is the Vermont Home-Owner/Builder, the Vermont Home-Owner/Builder warrants and represents that the products purchased herein from Seller satisfy the Vermont
Residential Building Energy Standards (RBES) for the year of installation or that the Home-Owner/Builder qualifies as a Home-Owner/Builder as defined under the RBES and
the Home-Owner/ Builder intends to provide an Owner/Builder Disclosure Statement upon any future sale. Home-Owner further understands and acknowledges that Pella
Products Inc. is not the builder or contractor, and is not responsible for completing or providing any RBES certificate for the project. The Vermont Home-Owner/Builder further
agrees to indemnify, defend, and hold harmless Seller for any and all claims that may result from the Vermont Residential Building Energy Standards.
SERVICE LABOR WARRANTY: The standard Pella Service Warranty applies. Please note that any costs for equipment, scaffolding and safety equipment that is required to
obtain access for large or to inaccessible units will be at cost of homeowner, even if these costs are incurred during the labor warranty period.
I hereby authorize Pella Products, Inc (the “Corporation)”, its affiliates and/or subsidiaries to use, reproduce, and/or publish photographs and/or video that may pertain to me
and my project, including materials described below, without compensation. I understand that this material may be used in various communications (e.g. Website, e-newsletters,
promotional materials, etc).
Consequently, the Corporation may publish materials, photographs, and/or make reference to the project in a manner that the Corporation or project sponsor deems appropriate.

This Manual is supplemental to the April 2020 and includes asbestos, hazardous materials
and demolition work associated with the Church structure which was recently added to the
project.
2. The Work includes the following major items:
a. Mobilization and demobilization
b. Abatement of various asbestos containing and oil and hazardous
materials in buildings to be demolished
c. Building demolition and backfill of below grade areas
d. Site restoration in accordance with Owners requirements
1.2 SUBMITTALS
A. Informational Submittals
1. Submit copies of permits or approvals required for the Work, prior to initiating
the Work.
1.3 PROJECT/SITE CONDITIONS
A. Permits
1. Obtain the permits, notifications and approvals listed below:
a. Permits and licenses of a temporary nature necessary to perform the
asbestos abatement work, which include at a minimum an asbestos ANF-
001 Notification and the MassDEP BWP AQ06 renovation / demolition
permit.
b. Local Demolition permit

c. Local permits related to trenching and/or excavation if applicable
d. MassDEP Permit /notification for on-site crushing, if applicable
e. Other permits or licenses required for the Contractor’s operations
B. Existing Conditions
1. Use of Premises and Off-site Work
a. The Work shall occur on the Owner’s property.
b. Obtain approval for use of any land and access thereto that is deemed
necessary for the Work, where such land is not available for use by the
Owner.
c. Provide for the disposal of waste materials off-site in accordance with all
applicable laws.
d. Adhere to the limits of Work as indicated, to minimize damage to
roadways and reduce any inconvenience to the Owner, general public,
and residents in the vicinity of the Work, and to protect people and
property. Keep fire hydrants on or adjacent to the Work accessible to
fire fighting equipment at all times.
e. Make temporary provisions for the use of sidewalks and maintain
functioning gutters, stormwater systems, drainage ditches, and culverts.
f. Maintain public access to businesses and residences including driveways
and parking lots at all times during the Work.
PART 2 PRODUCTS
2.1 MATERIALS FURNISHED BY OWNER
A. The Owner will not furnish any materials, labor or equipment under this Contract.
