This Joint Application to amend ail existing Subdivision Approval With Conditions and
an existing Special Permit is sulmitted by Hospital Hill Development LLC ("Hospital
Hill") to the P1ainliiig Board for the City of Northampton, Hampshire County,
Massachusetts (the "Plaiuling Board") with respect to the Notice of Definitive
Subdivision Approval with Conditiois approved by the Pla,mling Board on January 22,
2004 and issued by the Plaruling Board to the City Clerk for the City of Northampton on
January 30, 2004, as amended by a Subdivision Amendment Approval dated December
12, 2005, and as further amended (collectively, including all amendments, the
"Subdivision .Approval'') and the Special Permit issued by the Plamzing Board with
respect to the Village at Hospital Hill Project pursuant to a Plainling Board Decision
dated September 26, 2002, recorded ii1 the Hampshire County Registry of Deeds at Book
6835, Page 81, as amended (collectively, including all amendments, the "Special
Permit").
This Application is being submitted for the purpose of conforming the Subdivision
Approval and the Special Permit with the current redevelopment plans for the property
that is the subject of the Subdivision Approval and the Special Permit. More than six (6)
years have passed since the issuance of the Special Permit, and more than five (5) years
have passed sii7ce the Subdivision Approval. The redevelopment project being can-ied
out by Hospital Hill lias evolved over that period of time, and this Application is a direct
result of that evolution.
Specifically, Hospital Hill has entered into a Purchase and Sale Agreement dated July 31,
2008 with Kollmorgen Corporation ("Kollmorgen") pursuant to which Hospital Hill has
agreed to sell to Kollmorgen and Kollmorgen has agreed to purchase fiorn Hospital Hill a
parcel of land containing approximately 13.6 acres on the South Campus of the Village
Hill Northampton Project. A copy of the conceptual plan that shows the parcel of land
proposed to be conveyed to Kollmorgen is included with this Application (the
"Kollmorgen Plan"). This important and significant development will insure that
Kollmorgen maintains its principal engineering and manufacturing facility in the City of
Northampton. The size of the parcel of land required by Kollmorgen, however, requires
that Hospital Hill modify significantly its redevelopment plans for the Sottth Campus.
The specific requests of Hospital Hill for amendments in relation to the Subdivision
Approval and the Special Permit are as follows:
(A) Request for Ariiendment of Subdivision Approval. Hospital Hill requests
that the subdivision of the entire South Campus of the Village Hill Northampton Project
be terminated with the elimination of South Campus Road. Hospital Hill proposes to
proceed with the redevelopment of the South Campus through the submission to the
Plaiu7ing Board of plans that will not require Planning Board approval under the

Subdivision Control Law but do require the endorsement of the Plaauzing Board that
Approval is Not Required under the Subdivision Control Law. The proposed sale of
approximately 13.6 of the remaining acres of land comprising the Sout11 Campus to
Kollmorgen eliminates any necessity for the South Campus Road. The creation of South
Campus Road was the reason for the previous acquisition of the Subdivision Approval
with respect to the South Campus.
Hospital Hill submits that any remaining conditions relating to the overall
redevelopment of the South Campus that should remain in effect notwithstanding the
change in the nature of the redevelopment of the South Caanpus to include the
Kollmorgen project can be incorporated in the Special Permit. Pltrsuant to this
Application, Hospital Hill seeks to amend the Subdivision Approval with respect to the
South Campus as follows:
1. Termination of Requirement for Performance Guarantee. Condition 1 of the
Subdivision Approval requires the provision by Hospital Hill of a performance guarantee
that conforms to the Northampton Subdivision Rules and Regulations in connection with
the subdivision of the South Campus. Since the South Campus will no longer be the
subject of a proposed subdivision, Hospital Hill is requesting that the Subdivision
Approval be atnet7ded to eliminate any requirement for the provision of a performance
guarantee with respect to the South Campus and that in connection therewith the entire
South Campus be released from the existing Covenant that constitutes the performance
guarantee with respect to the South Campus through the execution by the Plamiing Board
of a Partial Release of Covenant. The existing Covenant is recorded in the Hampshire
County Registry of Deeds at Book 8024, Page 246.
2. Elimination of Initial Subdivision Approval Conditions. The conditions in the
Subdivision Approval dated January 22, 2004 that relate to the South Campus that
Hospital Hill is requesting be eliminated through this Application with respect to the
South Campus and South Campus Road are as follows:
Condition 6. Prior to the final release of the performance guarantee, 100% design of the
best solution to accommodate four pedestrian crosswalks at the Prince Street/Village Hill
Road/South CampLts Road intersection shall be submitted to the Office of Platuiing &
Development and the Northampton Department of Public Worlcs. The analysis of
appropriate solutions shall include a frill assessment of a round-about option.
Re uest. Hospital Hill requests that this condition be eliminated with respect to South
Campus Road, with the requirement for the creation of four pedestrian crosswalks at the
Prince Street/Village Hill Road intersection incorTorated as a Special Permit Condition.
Condition 7. If a traffic signal is warranted at the intersection of Prince Street/Village
Hill Road/South Campus Road, the signal must have a pedestrian phase.

Request. Hospital Hill requests that this condition be eliminated in its entirety and
incorporated as a condition in the Special Permit, with the reference to South Campus
Road changed to refer to the entrance to the South Campus.
Condition 8. All intenial crosswalks shall be raised crosswalks, part of a raised
intersection, or true cobblestone. Revised plans shall show complete design, details aild
necessary drainage.
Regltest. Hospital Hill requests that this condition be eliminated from the Subdivision
Approval and incorporated as a Special Permit condition.
Condition 9. The cross-country multi-use trail from Earle Street to the road in the
southern campus shall be constructed prior to issuazlce of the first certificate of
occupancy within the subdivision. Revised Multi-Use Trail exlubit with the corrected
scale must be submitted. The plans should contain a statement that the trail will be built
to AASHTO or some other standard/ADA specification.
Request. Hospital Hill requests that this condition be eliminated from the Subdivision
Approval. It is already included as a Special Permit condition.
Condition 10. Prior to the release of the performance guarantee, an easement shall be
accepted and recorded for the multi-use trail that allows the public to pass alld repass
along its entire length. Alternatively, may convey a fee simple transfer to the City.
Request. Hospital Hill requests that this condition be eliminated in its entirety and
incorporated as a Special Permit condition.
Condition 13. The street in the southerly campus shall be rained South Campus Road.
The street in the northerly campus (phase I) shall be named Village Hill Road.
Request. Hospital Hill requests that this Condition be eliminated in its entirety as to
South Campus Road.
Condition 14. A license from the Northampton Recreation Corrunission is required for
the necessary regrading shown on the plans of their Prince Street property prior to
construction of the road on the south campus. A copy of any request for a license shall
be provided to DPW and OPD concui7ent with a submittal of the request to Recreation.
Request. Hospital Hill requests that this condition be eliminated in its entirety as to
South Campus Road.
Condition 25. All detention ponds shall be constitiicted prior to road construction and
shall act as erosion control devices during construction to prevent sediment from entering
wetlands or the river. The plans must be revised to show management of stonnwater amd
erosion control during construction prior to begiruiing of construction and must include

dewatering and spill prevention plans identifying any aizd all potential catch basins that
niay receive stonnnwater and/or contamination.
Request. Hospital Hill requests that this condition be eliminated as to the South Campus
aild incorporated as a Special Permit condition.
Condition 26. The Owner's Association (OA) Covenants shall not prohibit irrigation
systems that draw from the stonnwater system and the detention ponds on OA or
common land.
Request. Hospital Hill requests that this condition be eliminated as to the South Campus
and incorporated as a Special Permit condition.
Condition 27. The Plaiuung Boaa-d and DPW will review stonnwater flows on each lot as
applications for site plan approval are reviewed.
Request. Hospital Hill requests that this condition be eliminated as to the South Campus
and incorporated as a Special Permit condition.
Condition 28. Because catch basins are riot being provided at Prince alld South Campus
Road, prior to acceptaalce of any street or removal of performance guarantees, drainage
problems at this intersection, if any, must be corrected by the developer by comiection to
the Route 66 drainage system in a inamler approved by DPW.
Request. Hospital Hill requests that this condition be eliminated in its entirety.
Condition 33. The water line looped to the Federal Street line must contain double gates
at its comlection to the existing system at Federal- Street alld at its comZection to the new
Village water system. The City will not take over the portion of tlus existing water line.
If any such existing line fails, the City will simply close the gates. Hydrant flow tests in
the Spring 2004 must confine the applicant's presentation that fire flow aild pressure
requirements can be met with the Federal Street line discoiniected. The developer may
not release covenants-not-to-sell lots for any lots which DPW determines that adequate
fire flow or pressure is not adequate until this work has been successfully completed, or if
adequate water pressure alid fire flow is not inet until the developer receives an amended
subdivision approval of an altenlative method to provide adequate fire flow and pressure
without the Federal Street line.
Rec~est. Hospital Hill requests that this condition be eliminated because the Federal
Street water line will not be utilized in comlection with the redevelopment of the South
Campus alzd new water lines have been installed.
Condition 34. The developer inay not release covenants-not-to-sell or any other
performance guarantee until:

a. The developer shows evidence, satisfactory to the Noi-thainpton DPW,
that the existing cross-country water line from Grove Street is adequate
for DPW to accept the line, at DPW's discretion; or
b. The developer shows that they have adequate fire flow and pressure
without the line; or
c. The developer receives an amended subdivision approval of an alteniative
method to provide adequate fire flow acid pressure without this line.
Re nest. Hospital Hill requests that this Condition be eliminated because the Grove
Street water line will not be utilized in coim7ection with the redevelopment of the South
Campus and will be terminated at the southerly boundary of the proposed Kolhnorgen
parcel on the Soutli Campus shown on the Kolhnorgen Plan.
Condition 55. Because the site plan approval portion of the special permit for the
Plaiuied Village was deferred, all residential and commercial construction projects
require site plan approval regardless of size or type. An applicant may apply for one
overall site plan or may file in phases.
Re uest. Hospital Hill requests that this condition be eliminated and incorporated as a
Special Permit condition.
General. In general, Hospital Hill requests that as a result of the elimination of South
Campus Road that all Subdivision Approval Conditions be deemed amended to eliminate
any implied reference to South Campus Road.
3. Elimination of Subsequent Subdivision Approval Conditions. The Subdivision
Amendment Approval dated December 12, 2005 was issued by the Planning Board in
comzection with the subdivision of the South Campus aild the proposed creation of South
Campus Road. Hospital Hill requests that all of the conditions set forth in the
Subdivision Amendment Approval dated December 12, 2005 be eliminated in their
entirety. Hospital Hill proposes that any additional conditions that maybe required in
coimlection with the redevelopment of the South Campus be unposed by the Plamling
Board in coimection with and as part of the Site Plan approval process with respect to the
redevelopment of lots created in the South Campus, including without limitation the lot
proposed to be conveyed to Kollmorgen.
4. Confirmation that Tier One Compliance with Site Plan Criteria is Terminated.
Pursuant to the Plamling Board Decision dated February 1, 2005, the P1amling Board
granted approval of Tier One of Two for compliance of the proposed eleven
commercial/retail lots on the South Campus with site plan criteria. Since the subdivision
of the South Campus is being terminated as a result ofthe elimination of South Ca.~npus
Road, the Tier One Site Plan Approval dated Febniary 1, 2005 is rendered moot because
it relates to a proposed subdivision that will not occur. Accordingly, Hospital Hill
requests confirmation fiom the P1aimling Board that the Tier One Site Plan Approval with

respect to the Subdivision of the South Campus dated Febniary 1, 2005 is no longer in
effect.
(B) Request for Amendment of Special Permit.
1. Substitution of South Campus Redevelopment Plan. Hospital Hill
requests that the Special Permit be amended to provide for the redevelopment of the
South Campus tluough the elimination of South Campus Road alzd the subdivision of the
South Campus property in a mainier that does not constitute a subdivision that is
regulated by the Subdivision Control Law. Tilstead, Hospital Hill proposes that the South
Campus shall be redeveloped primarily through a creation of the individual parcels of
land shown on the Kollmorgen Plan tluough the submission to the Plamzing Board of one
or snore plans that do not require Plamzing Board approval under the Subdivision Control
Law but do require the endorsement of the Planning Board that approval is not required
under the Subdivision Control Law in a mamzer consistent with the Kollmorgen Plan.
The redevelopment of the South Campus in a manner consistent with the Kollmorgen
Plan shall require that each proj ect proposed to be caiYied, out on the South Campus shall
be the subject of separate application for site plan approval. Hospital Hill requests that
the Special Permit be amended to reflect the redevelopment of the South Campus in a
mamier consistent with the Kollmorgen Plan.
2. Incorporation of Subdivision Approval Conditions. Hospital Hill
requests that the Subdivision Approval Conditions 6, 8, 10, 25, 26, 27 and 55 set forth in
Paragraph A above be incorporated by reference in the Special Permit with respect to the
redevelopment of the~South Campus.
3. Desi~1 of Kolhnor~en Project. Condition 2 of Attaclunent B to
the Special Permit provides as follows:

" 2. The design of proposed Kollmorgen building, as shown on the
submittal, meets the Special Permit standards consideri~ig this is an
industrial area, provided that the facade of the building facing
Ridge Street, as named ii1 the Master Phil, is Uelow grade or no
snore tha11 tluee (3) feet above grade and the otter facades have
two (2) tiers of windows, giving the appearance of a two story
building. The Plamzing Board shall approve the specific design of
the building during its site plan review of the project."
The Special Permit clearly provides in Condition 2 of Attaclunent B that the Desig~.1
Guidelines that are part of the Special Permit shall not be applicable to the industrial
project previously proposed to be carried out by I~ollmorgen at a different site. Hospital
Hill therefore proposes that the Special Permit be amended by replacing existing
Condition 2 of Attaclunent B with the following:

the Special Permit standards applicable to an industrial area,
provided that the design of the Kollmorgen Building aild related
site improvements shall be consistent with the Design Criteria
dated Jax7uary 26, 2009 which are attached hereto and made a part
hereof. The Plamling Board shall approve the specific design of
the building during its site plan review of the Kollmorgen Project."
4. Elimination of Condition 3 of Attachment B. Condition 3 of
Attachment B to the Special Permit provides as follows:

" 3. Cross easement shall be provided for those parking spaces at.
the Kollmorgen Property that are in excess of Kollmorgen's
immediate needs to allow parking by tenants from other parts of
the Village at Hospital Hill, with the provision that if
Kollmorgen's need for parking increases they can correspondingly
increase the number of spaces reserved solely for their use. Final
easement documents alid exact language shall be approved by the
Plamling Board as part of the site plan approval of the Project."
Hospital Hill submits that the change in the proposed location of the Kollmorgen project
eliminates as a practical matter the necessity or efficacy of the cross easements for
parking described in Condition 3 of Attaclnnent B to the Special Permit. Accordingly,
Hospital Hill requests that Condition 3 of Attachment B to the Special Permit be
eliminated in its entirety.
5. Bilce Path/Multi-use Trail. li its application to the Plamling Board
dated June 24, 2008, Hospital Hill identified for the Plamling Board a requirement that
the existing Subdivision Approval Condition 9 relating to the cross country multi-use trial
from Earl Street to the road in the South Campus and the existing Condition 6 of
Attaclnnent B to the Special Pernit relating to the construction of the bike patl~/nnilti-use
trail be modified in relation to the tuning required for the completion of the construction
of the bike patl~/multi-use trail. Specifically, Hospital Hill requested that these conditions
be modified to provide for the constntction of the bike path/multi-use trail by the end of
the constriction season following the construction season when all of the work being
perforn7ed by MassHighway pursuant to the Agreement between MassHighway and the
City of Northampton dated November 14, 2007 was completed.
Hospital Hill also indicated at that time that because of the elimination of South
Campus Road tluough the proposed sale to Kollmorgen and the construction and
operation of the Kollmorgen project, the location of the bike path/multi-use trail would
likely be affected. Hospital Hill requests that the Special Pernit be amended to provide
